The law for the implementation of the Shareholder Rights Directive (ARUG) of July 30, 2009 is purely an amendment law with which, among other things, the German company law is adapted to two EU directives . The aims of the law are:
- Combating fraudulent avoidance actions
- Improvement of the presence in the general meeting and strengthening of the shareholders' rights (deregulation of the deposit voting rights, authorization, postal voting, online general meeting, online participation in general meeting, calculation of deadlines, making the agenda and documents accessible)
- Deregulation in the case of non-cash formations, simplification of the review of the intrinsic value of contributions in kind, hidden contributions in kind
The ARUG will implement:
- Directive 2006/68 / EC of the European Parliament and of the Council of 6 September 2006 amending Council Directive 77/91 / EEC with regard to the formation of public limited companies and the maintenance and modification of their capital (OJ L 264 of 25 September 2006, p. 32) Corporation Directive and
