Ordinary partnership company

The Ordinary Partnership Company ( Chinese  普通合伙企业 ) referred in Company Law of China a legal form that the general partnership according to German law is similar. The legal basis is the 2nd chapter of the law of the PR China on partnership companies ( 合伙 企业 法 , abbreviation PUG) in the version of August 27, 2006.

founding

The ordinary partnership company is established by being entered in the business register . The prerequisites for the establishment are mentioned in § 14 PUG:

  1. At least two fully legally competent partners,
  2. a written partnership agreement,
  3. the provision of deposits,
  4. a company and
  5. a permanent establishment.

Managing directors

According to § 26 PUG, all partners are entitled to manage the company, but one or more partners can also be commissioned to manage the company. If the latter is the case, the non-executive partners have the right to control the management (Section 27 PUG).
