SE & Co. KGaA

The SE & Co. KGaA is a partnership limited by shares (KGaA), the general partner of which is a European company (SE). By choosing this mixed form, the liability of the KGaA can be limited without having to give up the legal form of the KGaA. The limited partners of this company are still the limited partners or the shareholders of the KGaA. This legal form is often chosen for listed family companies or companies with an influential major shareholder whose family or major shareholders want to sell shares in their company but want to retain control of the company.

According to a decision of the Federal Court of Justice, this legal form has been together with AG & Co. KGaA and GmbH & Co. KGaA (identical to SE & Co. KGaA, only that a stock corporation or a GmbH serves as general partner) since 1997 permitted in Germany.

Companies with this legal form include Aurelius , Fresenius , Sto , Testo , Bertelsmann , OBI and KSB .
