Société à responsabilité limitée (Luxembourg)

Société à responsabilité limitée (abbreviated S.à rl or SARL , German "limited liability company") is the commonly used French-language term for the legal form of the limited liability company in Luxembourg .

For the establishment of a company statute ("les statuts") is required, there is a prescribed minimum share capital of 12,500 euros. This must be fully signed and paid. The number of shareholders must be at least 2 and not more than 40. The entry is made at the Luxembourg Chamber of Commerce (Chambre de Commerce Luxembourg).

According to the law of December 28, 1992, the establishment of a S.à rlu ( Société à responsabilité limitée unipersonnelle ), i.e. a one-person company, is also possible. For this, the same rules apply as for the SARL, the sole shareholder takes on the tasks that are otherwise performed by the general meeting.
