Andelsselskab med grænset ansvar
Andelsselskab med grænset ansvar (short Amba , spelling AmbA ) is a Danish legal form and it belongs to the corporations . According to Danish law, the Amba is a legal person under private law and it corresponds roughly to a GmbH in Germany. In contrast to a German limited liability company, no capital contribution by the shareholders is mandatorywhen establishing an Amba.
In order for a limited company to operate in Denmark , the company must be registered with the Erhvervs- og Selskabsstyrelsen (Trade and Companies Office), which is under a directorate of the Danish Ministry of Industry and Growth . If the entry has not yet been made, the partners are individually jointly and severally liable.
