Anpartsselskab

The Anpartsselskab (ApS) is a Danish legal form , roughly comparable to the German GmbH and, alongside the Aktieselskab, the most widely used company form in Denmark.

To set up an ApS, a minimum share capital of 125,000 Danish kroner (DKK, approx. 17,000 euros) as well as a complete minimum payment of the share capital is required (in cash or through audited contributions in kind; §§ 1 Paragraph 3, 4 Paragraph 1 and 11 Paragraph 2 ApSL).

Establishment process

The company is founded by signing a simple deed of incorporation. Notarial certification is not required. The new company must then be registered with the “Agency for Trade and Business” (“Erhvervs- og Selskabsstyrelsen”). The establishment becomes legally binding when the agency assigns the "CVR number" ("Centrale Virksomhedsregister number").

  • Annual preparation of a business report ("financial statements") by a state-approved accountant.
  • Publication by the "Agency for Trade and Companies".
