Integration agreement (Stock Corporation Act)

The integration contract is in accordance with § 319 AktG , a resolution of the general meeting of a public limited company on the integration of the company into another domestic corporation. The integration decision assumes that all shares in the company are in the hands of the future main company. On the part of the main company, the resolution on approval requires a three-quarters majority of the share capital represented . Deviating regulations in the statutes must be taken into account. With the entry of the incorporation in the commercial register , the company is incorporated into the main company.
