Obschtschestwo s ogranitschennoi otwetstvennostju ( Russian Общество с ограниченной ответственностью , abbreviation OOO) is a legal form for corporations under company law of the Russian Federation . It corresponds to the type of limited liability company .

Legal development

The regulations on the OOO can be found in the Russian Civil Code in Chapter 4, Articles 48-95 and Act No. 14-FZ of February 8, 1998 in the version of July 23, 2013. The last company law reform took place with Amending Act No. 312 -FZ on December 30, 2008 and came into force on July 1, 2009. The implementation deadline for companies, which was initially defined as January 1, 2010, was later lifted; implementation in the context of the next amendment to the articles of association is sufficient.

Framework

The minimum share capital of OOO is 10,000 rubles , shareholders can be both natural and legal persons. The formation of one-man companies is permitted. During the founding phase, the provisions of the founding contract apply; after the company has been registered, the articles of association regulate all of the company's legal relationships. Changes to these contracts as well as the transfer of company shares require the notarial form. The OOO must keep a list of shareholders with the names of the shareholders and the amount of their participation. The highest body of the company is the shareholders' meeting , which is granted extensive reservations of approval, particularly in the case of so-called large-scale transactions. The company is run by one or more managing directors, but Russian company law does not provide for general representation. A supervisory board ( Russian Совет директоров ) can be formed as the controlling body of the OOO, and an accounting commission ( Russian Ревизионная комиссия ) can be set up to control the company's accounting . If the company is dissolved, a liquidation commission must be formed. The OOO is registered in the State Unified Register for Legal Entities and Individual Entrepreneurs ( Russian Единый государственный реестр юридических лиц ).
