Réseau de Transport d'Electricité, SA (RTE) operates the French transmission network for electricity. RTE was a 100% subsidiary of Électricité de France (EdF) until 2016 , when EdF sold 49.9% of its shares.

Company history

RTE was founded on July 1st, 2000, initially as a legally dependent entity within EDF. The reason was the liberalization of the European electricity market . This required EDF to separate the production division and the transport division. Two pieces of legislation have promoted this development:

  • The European Directive 96/92 / CE of December 2, 1996, which was implemented by France on February 10, 2000, was the trigger for the creation of RTE; it requires independence in the areas of finance, accounting and corporate governance ( unbundling ).
  • A law of August 9, 2004 required the complete legal separation from EdF. On September 1, 2005, RTE became an independent stock corporation.

In July 2016 it was announced that EdF wanted to sell 49.9 percent of the RTE shares for around 8.5 billion euros to the Caisse des dépôts et consignations (CDC). In December, 29.9% was transferred to CDC and 20% to CNP Assurances . The EU Commission approved this on March 30, 2017; the transaction was completed on April 1, 2017. The background to the transaction was that EdF has high debts (details → in the article 'EdF' ) and that EdF is to take over the majority of AREVA NP at the instigation of the French state .

Corporate governance

Four representatives from EDF, four representatives from the employees and four from the French state sit on the RTE board of directors. The company is run by a board of four; the board members are appointed for 5 years by the supervisory board. Dominique Maillard was CEO from May 2007 (after André Merlin retired) to August 31, 2015; he was followed by François Brottes .
