Limited liability company

The partnership with limited liability (partly also private company with limited liability , PGmbH or GmbH for short , in the Flemish part of Belgium as Besloten Vennootschap met Beperkte Aansprakelijkheid (BVBA), in the French-speaking part as Société Privée à Responsabilité Limitée (SPRL)) is a Corporate body under Belgian law: It denotes a partnership , which, unlike the company under civil law (Germany) (GbR), as is the case with the German- law company with limited liability (GmbH), is solely liable with its corporate assets. According to German law, a GbR mbH comparable to the PGmbH can not be founded (see BGH NJW -RR 2005, 400), the limitation of liability can only be based on an individual agreement. The PGmbH can be founded by a sole shareholder. The foundation act must be notarized.

The initial contribution must be at least 18,550 euros, of which a third must also be paid in. The articles of association are entered at the competent registry court.
