Spoločnosť s ručením obmedzeným , abbreviated sro (or spol.s ro ) is the Slovak name for the legal form of the limited liability company in Slovakia , (German limited liability company ).

A share capital of at least EUR 5,000 is required to found a sro . When the company is founded, it is sufficient to have a "declaration from the deposit administrator" (usually the managing director ) stating that the basic contribution will be paid into the company's cash register on the day it is founded.

If several persons are registered as partners (up to 50), a minimum contribution of EUR 750 per partner is required. In order to demonstrably bring in this equity, the shareholders have 5 years after the establishment.

Contributions in kind are in the social contract expel. It should be noted that according to the amendment of the Slovak Commercial Code , the contribution in kind must be made before the share capital is entered in the commercial register. In addition to the name, the value of the contribution in kind must also be determined in the articles of association.

The Slovak sro immediately assumes full liability for all legal transactions that are concluded in their name upon establishment. The partners are liable up to the amount of their contribution.

Managing directors or shareholders can have their main residence in any country in the world. There is no obligation to take up residence in Slovakia.

The company itself must be registered with its headquarters in Slovakia and have actual premises with the appropriate office infrastructure. Furthermore, the storage of financial and business documents is mandatory. Double bookkeeping is mandatory.
