Board delegate

The delegate to the board of directors according to the Swiss Code of Obligations is a member of the executive board delegated by the board of directors. The delegate to the board of directors therefore has a dual role and is both a member of the board of directors and a member of management. This can also be in the form of a CEO, who is both Chairman of the Board of Directors and Managing Director in personal union, a role that is common in SMEs but is less common in larger companies.

In an international comparison, this is a specialty compared to the dualistic top organization in Germany and Austria with its strict separation of supervision ( supervisory board / board of directors ) and management of management / management.
