The FC Bayern Munich AG was founded in 2001 by the principal shareholder FC Bayern München e. V. founded. Other shareholders are Audi , Adidas and Allianz SE . In particular, she runs the professional football department of FC Bayern. Its chairman is Karl-Heinz Rummenigge , and Herbert Hainer has been chairman of the supervisory board since December 9, 2019 . Your shares are not traded on the stock exchange.

The AG is subdivided into the business field football , which comprises the entertainment and marketing of the football teams ("sporting events / marketing / sponsoring") and the brand of FC Bayern ("merchandising / licenses"), and the business field Allianz Arena , which is managed by the three wholly owned subsidiaries Allianz Arena München Stadion GmbH, Allianz Arena Payment GmbH and Arena Stadion Beteiligungs GmbH & Co. KG. The soccer division generates the majority of the Group's sales ; it was 89% in 2011/12. FC Bayern is one of the financially healthiest football clubs in the world because it has very low net debt and has been operating profitably for years.

The financial year of FC Bayern München AG begins on July 1st and ends on June 30th of the following year and thus corresponds to a football season.

founding

In February 2002 part of the football department of the parent club FC Bayern München e. V. spun off into FC Bayern München AG in order to create professional structures and finance a new stadium . The association members had formally approved a conversion into a corporation in 1996. It was created through a change in the form of FC Bayern Sport - Werbe GmbH , which was founded in 1992 and dissolved with the conversion in 2001.

The AG has been entered in the commercial register of the Munich District Court under HRB 140475 since December 21, 2001 . Since February 14, 2002, the professional men's team from the Bundesliga as well as the 2nd team, the A and B juniors, the women's football department and the business operations necessary for the organization of these teams have been under her responsibility . In FC Bayern Munich e. V. on the other hand, the chess, table tennis, handball, bowling and gymnastics departments remain combined. The basketball department itself has been spun off into its own GmbH.

Share capital and shareholders

The share capital of the AG amounted to 25 million euros until 2010, 90 percent of which was held by the association and 10 percent by Adidas . In 2002, Adidas paid just under EUR 77 million for the then 10 percent share in the stock corporation. Between March 2010 and June 2011, Audi AG acquired shares worth 90 million euros from the association in three steps. This was combined with a capital increase by a total of 2.5 million to 27.5 million euros. On February 11, 2014, Allianz SE acquired 8.33 percent of the AG for EUR 110 million, increasing the share capital to EUR 30 million. As a result of the capital increase, the share of all partners has since been 8.33 percent each. The purchase amounts show that Adidas paid around 9.2 million euros for every 1 percent of the shares. Audi, on the other hand, already paid the equivalent of around EUR 10.8 million and Allianz even paid around EUR 13.2 million per 1% share. This price increase can be explained by the steep rise in value of the FC Bayern brand. The cumulative shares of the three outside investors amount to 25 percent of FC Bayern München AG and are therefore below the blocking minority , which means that FC Bayern has secured itself against excessive influence from investors.

In addition to operating the soccer teams, FC Bayern München AG is also the sole shareholder of Allianz Arena München Stadion GmbH , which built the Allianz Arena stadium in Munich . Until April 27, 2006, TSV München von 1860 GmbH & Co. KGaA also held a 50 percent stake in this GmbH ; she sold this stake to FC Bayern München AG for 11 million euros due to financial problems.

Arena One GmbH , which was founded specifically for this purpose and has been a wholly owned subsidiary of the Austrian catering company Do & Co since the end of 2013 , acts as the operator .
