The BGL BNP Paribas SA is a Luxembourg bank , the majority of French bank BNP Paribas is one. The bank is the fifth largest bank in Luxembourg.
history
The Banque Générale du Luxembourg was founded on September 29, 1919 by the Société générale de Belgique . In 1928 the bank expanded to Belgium and France. Banque Générale du Luxembourg (Suisse) SA was founded in August 1982 . The company went public on November 29, 1984 on the Luxembourg Stock Exchange.
After the BGL parent company, Societe Générale de Belgique, joined Fortis Holding in 1999, Fortis increased its stake in BGL to 97.73 percent in February 2000 through a squeeze-out . In 2005, Banque Générale du Luxembourg became Fortis Banque Luxembourg .
The development from 2008
After the crisis at the Belgian-Dutch bank holding Fortis , the Luxembourg state took over a loan of 2.5 billion euros as a convertible bond to Fortis Banque Luxembourg at the end of September 2008 . By converting the convertible bond into shares, the Luxembourg state acquired a 49.9 percent stake in Fortis Banque Luxembourg in mid-December 2008 . Fortis Bank Belgium SA held the remaining 50.1 percent . The Fortis banking division was renamed BGL SA on December 22, 2008 . BGL stands for Banque Générale du Luxembourg .
After the Belgian state and BNP Paribas agreed on a new plan for the partial sale of the Fortis Group on the night of March 6, 2009, Luxembourg also agreed with BNP Paribas to invest in BGL SA. The Luxembourg state will initially be 34% of the Retain capital shares. The BNP Paribas Group has held 65.96% of the Luxembourg bank directly and indirectly (via the Belgian subsidiary BNP Paribas Fortis ) since mid-May 2009 . In the course of this majority takeover, the bank was renamed BGL BNP Paribas with effect from September 21, 2009 .
Due to extraordinary expenses, value adjustments and provisions, the annual surplus decreased from EUR 406.6 million in 2007 to EUR 30.6 million in 2008. BGL BNP Paribas becomes a 100 percent shareholder in BNP Paribas Luxembourg.
The BGL board consists of the chairman Carlo Thill and the nine other board members Hubert Musseau, Dominique Goulem, Patrick Gregorius, Luc Henrard, Fabrice Cucchi, Marc Lenert, Carlo Lessel, Laure Morsy and Kik Schneider.
Of the 432 million euros in profit (calculated according to Lux-Gaap, the Luxembourg accounting standards) for 2009, 330 million euros will be paid out in dividends, of which Luxembourg, which jumped in with 2.5 billion euros, will receive 112 million euros. The Luxembourg state wants to keep its 34 percent stake in the bank for the time being.
