The Austrian model railway Holding GmbH , based in Bergheim near Salzburg, is the parent company of the German model railway manufacturer Fleischmann and the Austrian model railway manufacturer Roco . According to its own information, the model railway holding company has an annual turnover of 51 million euros in Europe and a market share of 25 percent (as of 2013).

After the bankruptcy in July 2005, Roco was initially continued by the Raiffeisenbank with the help of a rescue company . In September 2007 Roco was sold to the Freising entrepreneur Franz-Josef Haslberger, who subsequently placed Roco Modelleisenbahn GmbH under the newly founded parent company Modelleisenbahn Holding GmbH. Fleischmann joined the company in early 2008 after being sold by the owner family. Both brands were in the black again in 2010. With effect from June 30, 2011, the entire group was acquired in a management buy-out (EHS Management GmbH, Salzburg) of the then managers of Modelleisenbahn Holding GmbH Leopold Heher (CEO), Roland Edenhofer (COF) and Johannes Steinparzer (COO) of Model Railway Holding AG. UBG Unternehmensbeteiligungs GmbH, which is related to the Raiffeisenverband Salzburg - as the sole shareholder of Model Railway Holding AG - led the negotiations on this buy-out. In April 2011, UBG took over Franz Josef Haslberger's shares in Haslberger Railway Holding AG and then renamed it to Model Railway Holding AG - it was agreed not to disclose the mutually agreed transaction. At the time of the takeover, Modelleisenbahn Holding GmbH had 740 employees in Germany, Austria, Romania and Slovakia.

The Fleischmann and Roco brands continue to operate as independent companies. Roco offers a full range of nominal size H0 on a scale of 1:87, while Fleischmann in H0 is increasingly concentrating on historical models up to around 1950 and in future is only to produce a full range in nominal size N on a scale of 1: 160.

In 2016, the holding company outsourced parts of its production to Vietnam in order to return to profitability.

In October 2017 it was announced that the Raiffeisenverband Salzburg (RVS) would again become the owner of the model railway group. Roland Edenhofer is to surrender his 95 percent stake in the holding company to the house bank and to withdraw from the group both as owner and managing director.
