Unipetrol (officially UNIPETROL, as ) is a joint stock company that deals with petroleum processing and the production, distribution and sale of fuels and petrochemical products - especially plastics and fertilizers - in the Czech Republic and Central Europe. It is the only oil processor in the Czech Republic and is one of the ten largest Czech companies in terms of sales. It was established in 1994 and has been part of the PKN Orlen group since 2004 , which owns 100% of the company's shares. The companies Kaučuk, Chemopetrol, Benzina, PARAMO as, Koramo (merged with Paramo in 2003), Česká rafinérská, Unipetrol Trade, Spolana and Unipetrol Rafinérie were gradually integrated into Unipetrol. The Unipetrol group includes refineries and production plants in Litvínov and Kralupy nad Vltavou, the Paramo company with the Mogul brand in Pardubice and Kolín, the Neratovice company Spolana and two research centers in Litvínov and Brno. Unipetrol also owns the Benzina petrol station network, which is the largest chain in the Czech Republic with 406 petrol stations.

The chairman of the board has been Krzysztof Zdziarski since 2018.

History of the Unipetrol group

The beginnings of the current Unipetrol group date back to 1939, when the construction of the STW chemical plant in Záluží near Litvínov began. Between 1975 and 1976, production facilities for polypropylene and polyethylene were put into operation, and in 1979 the ethylene plants went into operation. Two years later, the construction of the new Litvínov (NRL) refinery was completed. The year 1993 was marked by the restructuring of the refining and petrochemical industry as well as the former company Chemopetrol, which was later incorporated into Unipetrol.

Unipetrol was founded in 1994 by the National Asset Fund. It was one of the privatization steps of the Czech petrochemical industry. In 1996 the refineries of the Chemopetrol company in Litvínov and Kaučuk in Kralupy were spun off into the Česká rafinérská company.

In 2001 the Zeman government decided to start privatizing the state majority stake. Even though the cross-departmental privatization commission recommended the British company Rotch Energy, which had offered 444 million euros (at that time about 14.5 billion CZK), as the winner, the government decided in December 2001 on the sale to the Czech company Agrofert for 361 million euros ( then about 11.7 billion CZK). However, Agrofert did not pay and requested the termination of the privatization contract. In November 2002, the Špidla government decided to issue a new tender.

In January 2004, seven companies or consortia submitted preliminary bids in the tender for privatization. From the six valid offers, the offers of the Slovakian Penta Finance, the Russian Tatněft and the Kazakh state company KazMunaiGas (which had offered the highest top price in a range of 9-16 billion CZK) were excluded. In the shortlist, the government only selected the preliminary offers from the Polish company PKN Orlen (supported by Agrofert), the Hungarian company MOL and Shell. Only PKN Orlen then submitted a final offer - CZK 11.3 billion for a 63% stake in Unipetrol and CZK 1.7 billion for the claims of the Czech consolidation agency ČKA against Unipetrol. The government accepted the offer in April 2004 and the sale was completed in 2005.

In April 2015, the transaction relating to the purchase of the 32.445% stake in Česká rafinérská from Eni International BV was completed, making Unipetrol the sole shareholder of Česká rafinérská.

In December 2015, Unipetrol RPA, represented on the retail market by the Benzina brand, signed an agreement with OMV for the acquisition of 68 gas stations in the Czech Republic.

As part of the restructuring of the Unipetrol Group, the companies Unipetrol RPA and Benzina were merged at the end of 2015 under the name Unipetrol RPA, making Benzina a branch.

In June 2016, Unipetrol RPA signed a share purchase agreement with Anwil, thanks to which it acquired 100% of the shares in Spolana.

Community service and sponsorship

In 2016 Unipetrol RPA founded the Unipetrol Foundation, which aims to promote the study and teaching of chemistry and technical subjects. Unipetrol promotes the long-term development of the school system and the regions in which the company operates. Together with its employees, Unipetrol financially supports non-profit organizations and children's homes through the collection of wishes fulfilled. Since 2011 she has distributed more than 1.5 million crowns among them. Every year she distributes millions more to communities in their area. The funds are used by the municipalities for the development of infrastructure and activities in the social sphere as well as in the areas of culture, social life and sport.

The release of fish in the rivers Bílina and Elbe has a long tradition. Since 2010, together with Unipetrol, over 4,500 kilograms of fish have been released. In the Elbe, not far from the subsidiary Spolana Neratovice, fishermen have released over 2,000 kg of fish since 2013. In cooperation with the environmental organization Alka Wildlife, Unipetrol takes care of peregrine falcons that nest on chimneys on the production areas in Litvínov, Kralupy nad Vltavou and Neratovice every year. Beehives have been housed on the site of the old chocolate and saccharin production in Spolana Neratovice since 2018. Tests by the accredited laboratory of the Beekeeping Research Institute have confirmed the excellent quality of the bottled blossom honey.

Unipetrol has been a strategic partner of the University of Chemistry and Technology in Prague (VŠCHT) since 2002. In 2015, the University Center VŠCHT Prague - Unipetrol was founded, which is located directly on the Unipetrol production site in Litvínov and where you can study both bachelor's and master's degrees. Unipetrol also financially supports secondary schools and their pupils, in particular the schools Schola Humanitas in Litvínov and EDUCHEM in Meziboří near Litvínov.

Science and Research

Unipetrol attaches great importance to research and development in the field of refining and petrochemicals. It works with a number of local and foreign specialist bodies on both academic and commercial grounds. The Unipetrol group includes two research and education centers focused on refined products (Litvínov) and petrochemical products (Brno).

UniCRE

In 2014, the research and education center called Unipetrol výzkumně vzdělávací centrum, as (UniCRE) was established on the site of the chemical plant in Litvínov. This links research with teaching and industrial practice and thus ties in with the almost 70-year tradition of research into chemical technologies in Litvínov and Ústí nad Labem. In addition to the researchers, the modern areas with their first-class equipment also serve the students of the University Center of VŠCHT Prague. With its research and training activities, UniCRE facilitates the transfer of knowledge from research into practice and contributes significantly to the promotion of education in the Ústí district.

PIB

The Polymer Institute Brno (PIB) branch has the status of a research, development and production organization that works on a contract basis. In addition to research and development, it is engaged in the production of concentrates of additives for plastics (of color concentrates, concentrates of stabilizers, special composites, materials with lower flammability, antistatic agents, nucleating agents, lubricants and fillers, etc.), the sale of polymers and with information and advisory services.
