Chair of the Board

Chair of the Board ( COB ), also Chair or Chairman of the Board , refers to the chairman of the management and control body of a company ( Board of Directors ) in the Anglo-American region . This Anglo-Saxon title is increasingly used in the course of the internationalization of companies in German-speaking countries (such as the chairman of the supervisory board ), although it has no relevance under commercial or corporate law. Usually there are 3 different types of chairs in Anglo-Saxon:

Chair and CEO

  • Chair and CEO - in these cases the CEO is also the chairman of the board of directors. In these cases, another non-executive board member becomes the lead director and thus the CEO's control body. The position of CEO and chair in personal union thus largely corresponds to the President-directeur général in France . An example of such a personal union of chair and CEO function was the role of Stuart Rose at Marks & Spencer , who from 2008 to 2010 held the position of chairman in addition to his function as CEO.

Executive chair

  • Executive Chair - a function independent of the CEO, in which the Chair also manages the company's business. A prominent example of such an executive chairman of the board of directors is Larry Ellison at Oracle .

Non-executive chair

  • Non-executive chair - also a function that is independent of the CEO, in which the chair, unlike the executive chair, does not manage the company's business and is therefore not operational. The tasks of the non-executive chair are therefore typically limited to the organization and management of the meetings of the board of directors and the control of the CEO and the other members of the board. The non-executive chair is less the CEO of the CEO than his mentor .
