Cnova NV , based in Amsterdam, is a listed holding company controlled by the French retail group Groupe Casino , the main holding of which is the French e-commerce retailer Cdiscount .
background
Cnova was founded in 2014 to hold the French and Brazilian e-commerce activities of Casino (France), GPA and Via Varejo and Exito (Brazil). Cnova was listed on NASDAQ under the ticker symbol “CNV” in November 2014 and on Euronext Paris in January 2015 . After a reorganization in 2016, 100% of Cnova's Brazilian operations were brought in by Via Varejo, which was a GPA subsidiary at the time. As a result, Cnova again focused purely on Cdiscount's French e-commerce business. Cdiscount is an e-commerce platform based in Bordeaux, originally specialized in CDs and DVDs, but today it offers a full range of entertainment electronics, household appliances, IT, telephony, etc. through to clothing, furniture, do-it-yourself items, car accessories and the like, both directly as well as an online marketplace , and is the leading French e-commerce platform.
In December 2016, Casino simultaneously launched public offers, one in the US and one in France, to acquire all of Cnova's outstanding common stock. In January 2017 Casino and Cnova announced the results of the takeover bids for the common shares of Cnova NV in the United States and France: Casino now controls approximately 99% of the capital of Cnova. On March 3, 2017, Cnova voluntarily withdrew its common shares from NASDAQ ( delisting ); Cnova's common stock continues to be listed on Euronext Paris.
