history

2015: Integration of Pelikan holdings into Herlitz AG and change of name to Pelikan AG

On the basis of a general meeting resolution from December 2014 and a contract from March 2015, Pelikan International Corporation, Pelikan Holding and two other group companies brought ten of their subsidiaries into Herlitz AG on April 30, 2015, including the Pelikan activities in Mexico , Colombia , Argentina , Japan , the United Arab Emirates , Belgium , Switzerland and Italy . Herlitz AG financed the takeover with a capital increase in kind amounting to 231 million shares. At the same time Herlitz AG was renamed Pelikan AG.

For August 2015, a cash capital increase of up to 32.8 million shares was planned in connection with a placement of 60 million shares from the holdings of Pelikan Holding. However, only 0.38% and 0.16% of these offers were accepted by the shareholders, so that there was no significant change in the shareholder structure after the share placement and capital increase. With the capital increase in kind in April 2015, however, the ownership structure of the former Herlitz AG had changed significantly:

Shareholders Share at the end of 2014 Share May 2015
Pelikan International Corporation 71.3% 98.7%
Free float 28.7% 1.3%

At the beginning of 2016, Pelikan International Corporation confirmed its intention to sell shares in Pelikan AG.

2017: Squeeze-out procedure of Pelikan AG and conversion to Pelikan Group GmbH

At the beginning of December 2017, the shares of the minority shareholders of Pelikan Aktiengesellschaft were transferred to Pelikan International Corporation Berhard (PICB) and the stock corporation was converted into a non-listed stock corporation.

Pelikan AG was converted into Pelikan Group GmbH on December 21, 2017 as part of the corporate strategy to streamline organizational structures.
