Limited Liability Partnership

A Limited Liability Partnership ( LLP ) is a partnership under British / US law. It can best be compared with a German limited partnership without full liability . The difference to the Limited Liability Company (LLC) is that the shareholders can exercise the management directly. As with a corporation , however, you do not have to forego comprehensive liability protection. In addition, this legal form can also be structured like a partnership for tax purposes.

This type of company is often encountered in the professional sector, for example in law firms , auditors , tax consultants and architects ( law firm , partnership ), especially because in some US states , such as New York and California , this type of company is only open to certain professions. LLP constructs are also used as tax-free offshore solutions by location-independent companies and digital nomads .

In 2005 this type of company was introduced in Japan as Yūgen Sekinin Jigyō Kumiai and in Singapore .

An LLP construct is suitable for keeping the names of the persons or directors involved secret.
