Corporate constitution

The corporate constitution is the entirety of all constitutive and long-term regulations for companies; especially with regard to the internal order of a company. This is necessary so that the company can align its activities with the company's goals.

The corporate constitution , which primarily describes the internal order of the company, thus differs from corporate governance , which deals more with questions of the (legal and factual) integration of the company into its environment. At CG, the focus is on large listed (stock) companies, whereas the concept of corporate governance can be applied to all forms of business.

The rules and norms anchored in the corporate constitution are relatively freely compatible and only limited by the applicable legal framework, in particular company law and co-determination law .

Content of a corporate constitution

The specific contents of the corporate constitution must be worked out individually for each company. Nevertheless, one can record general facts:

  • general corporate purpose (strategic target planning)
  • Corporate bodies and the competence system (organizational units)
