The Assystem SA is an international corporation with a focus on engineering services and consulting . The head office is in Paris , France . The group is represented in 19 countries with over 11,000 employees. The group is listed on NYSE Euronext Paris and is part of the CAC Small share index .

Corporate history

Assystem emerged in 1994 from the merger of the two French companies ATEM and Alphatem. Assystem has been listed on the Paris Stock Exchange since 1995 . In 2003 it merged with Brime Technologies.

In 1966, the French company ATEM was founded, a company specializing in organizing the commissioning of industrial plants (including the steel and nuclear industries). In 1989, the company was founded Alphatem, one on nuclear facilities specialized joint venture of Cogema (Areva since 2001). In 1995 the companies ATEM and Alphatem merged to form Assystem. Assystem went public in Paris in the same year. In 2003 the company merged with Brime Technologies and changed its name to Assystembrime. Assystembrime has been operating under the name Assystem again since 2005. In the following years numerous other acquisitions were made, for example the English company Inbis and the German companies SKI-Team, Atena Engineering and SQS .

Group business areas

Assystem SA serves a total of seven business areas: Aerospace, Defense, Energy, Nuclear Plants, Life Sciences, Infrastructure as well as Automotive and Transportation. According to its articles of association, Assystem SA's services include the following areas: consulting, research, engineering, training, support, maintenance as well as product development and distribution, including hardware and software.

The individual subsidiaries focus on different markets and offer correspondingly specialized services.

Corporate finance

Assystem SA has been able to continuously increase its sales in recent years, with the exception of 2009, when the group felt the effects of the economic and financial crisis . The group recorded growth in 2013. Compared to the previous year, sales increased by 1.8% to a total of EUR 871.4 million. The operating result was EUR 53.2 million, the return on sales 6.1%, compared to 7.1% from the previous year. The financial year of Assystem SA coincides with the calendar year. The accounting is based on the International Financial Reporting Standards ( IFRS ).

Assystem Deutschland Holding GmbH was founded in Hamburg in 2004 and is a wholly-owned subsidiary of Assystem SA . The company comprises three operating companies: Assystem Germany GmbH, Silver Atena Electronic Systems Engineering GmbH and Automotive Solutions Germany GmbH. The German Assystem group of companies is particularly active in the aerospace, automotive, industry and transportation sectors and currently has around 1,100 employees at 15 locations in Germany.

As part of the Assystem Group with 12,500 employees and a worldwide presence in 20 countries, employees and customers alike have access to an extensive network of experience and skills.

History of Assystem Germany GmbH

Assystem Germany GmbH, based in Munich, was created in this form in 2017 through the merger of Assystem GmbH and Berner & Mattner Systemtechnik GmbH. Berner & Mattner Systemtechnik GmbH was founded in 1987 by Hans Berner and Adolf Mattner in the Munich district. Assystem GmbH was created in this form in Hamburg in 2011 from the merger of the German companies SKI-Team GmbH, Hamburg - founded in 1997 - and Atena Engineering GmbH, Munich - founded in 1998. Silver Atena Electronic Systems Engineering GmbH was created in 2008 in the way a spin-off of the electronics division from Atena Engineering GmbH. In 2017, Assystem Germany GmbH expanded its competence in the field of automotive lighting through the acquisition of Automotive Solutions Germany GmbH (ASG) in Samerberg, founded in 2010.

Assystem Germany GmbH services

Today, Assystem Germany GmbH is a partner to leading manufacturers of innovative engineering and product solutions in the aerospace, automotive, industry and transportation sectors. The range of services includes classic development services such as industrial design, construction and calculation, simulation, documentation, certification services, but also project and quality management, production control, material technologies and test engineering. This wide range of competencies was expanded through the merger with Berner & Mattner Systemtechnik GmbH to include system development, testing of electronic and mechanical systems, consulting, conception, software development and system development, as well as more complex offers such as the construction and operation of complete test and integration systems in the automotive and industrial sectors and transportation expanded. The customer base consists of Original Equipment Manufacturers (OEM), suppliers and companies from the Maintenance, Repair and Overhaul (MRO) sector. Furthermore, Assystem Germany GmbH is an accredited provider of qualified and practice-oriented training courses in the field of software testing and test products. As an expert in test specification, construction and operation of test systems and test houses, the well-founded training and further education scheme of the ISTQB® Certified Tester program is combined with many years of experience from our own practice. The quality management of Assystem Germany GmbH is certified according to ISO 9001, ISO 27001 and EN 9100 and thus fulfills, among other things, special requirements for organizations in the aerospace and defense sectors.

With around 825 employees, Assystem Germany GmbH is now represented at 15 locations in Germany, including Berlin, Braunschweig, Bremen, Donauwörth, Frankfurt am Main, Hamburg, Ingolstadt, Cologne, Munich, Nuremberg, Regensburg, Rostock, Stade, Stuttgart and Wolfsburg.

Berner & Mattner

Berner & Mattner Systemtechnik GmbH was founded in 1987 by Hans Berner and Adolf Mattner in the Munich district. A predecessor company was founded in 1979. After Berner & Mattner became a member of the Assystem Group in 2011 and was organizationally integrated into Assystem Deutschland Holding, Assystem GmbH and Berner & Mattner Systemtechnik GmbH were fully integrated into Assystem Germany GmbH in 2017.

Silver Atena

Silver Atena Electronic Systems Engineering GmbH (in short: Silver Atena) was established in 2008 and employs over 275 people (2017) at four locations in Germany: Munich, Hamburg, Bremen and Stuttgart.

From 2008 Silver Atena continued the electronics business of what was then Atena Engineering GmbH. Atena Engineering, founded in 1998, was acquired in July 2005 by Assystem Deutschland Holding GmbH, a wholly owned subsidiary of Assystem SA. In 2008 the electronics division “Technology & Systems” of Atena Engineering was spun off and integrated with the Anglo-Indian company Silver Software to form the international joint venture Silver Atena, headquartered in Malmesbury, Great Britain. The merger of the two companies created an international provider in the market for safety-related electronics. This joint venture has not existed since 2012 and Silver Atena Electronic Systems Engineering GmbH operates independently within the Assystem Group. As a system supplier, the company develops safety-related electronics for applications in the aerospace, automotive, rail and transportation sectors. The development spectrum includes all areas of hardware, software and systems engineering, especially for safety-relevant systems. The company is also active in the development, provision and support of Hardware-in-the-Loop (HIL) test systems.

The quality management of SILVER ATENA has been certified according to DIN standards EN 9100 and EN ISO 9001 since 2004.

Automotive Solutions Germany (ASG)

Automotive Solutions Germany GmbH (ASG) is a specialist in the design and development of lighting systems for the automotive industry. It offers high-quality services such as engineering and project management, prototyping as well as design and CAS modeling for OEM and Tier 1 companies in the automotive industry.

Assystem in other countries

Assystem SA has numerous locations in 19 countries worldwide. In addition to France and Germany, Great Britain is of particular importance. Further locations are located in Europe as well as in North America and Asia.

Assystem UK LLC employs around 1,400 people (including freelancers) in Great Britain. The operational focus is on the aerospace, energy (including nuclear energy), defense and transportation sectors. In addition to customers in the private sector such as Airbus , EDF , Rolls-Royce or Spirit Aerosystems, Assystem UK also serves the British government with the maintenance and dismantling of the nuclear infrastructure.

Challenges

Like many engineering service providers, Assystem SA faces significant challenges. Assystem SA has a diversified clientele that is often active in several countries. In total, however, around 60% of the group's sales come from ten customers. The Group's main customer accounts for around 20% of sales across different locations and countries. The group offsets the weight of the ten largest customers with its variety of services for these customers. In addition, the company maintains corresponding customer contracts with a term of several years. A similar picture emerges on the German engineering service market. Assystem also generates the majority of its sales in Germany with a limited number of main customers. This means that there is a constant risk that if the customer relocates, a large part of the orders will be lost and sales will collapse.

Another challenge for the company is fluctuation . One of the most important assets of the group is the technical know-how of its engineers and technicians. Against the background of the subject of war for talent and the increasingly apparent shortage of skilled workers , especially among engineers and technicians who make up the majority of the workforce, Assystem is also affected, among other things by changing employer to customer.

The company faces challenges from the market, particularly in the form of competitive and price pressure. On the German market, the three operating companies of Assystem Deutschland Holding GmbH compete with companies such as Altran, Rücker or Brunel. In the fixed-price business in particular, there is a risk that work performance and project income are out of balance. According to the Lünendonk List 2013, Assystem is the 16th largest engineering service provider in Germany.
