The Spruchververfahrengesetz (SpruchG) regulates various special procedures from company law .
The following areas of application are named in § 1 No. 1 to 6:
- Compensation for outside shareholders and the compensation for such shareholders in the case of domination and profit transfer agreements ,
- Compensation for former shareholders when integrating joint stock companies ,
- Cash compensation for minority shareholders whose shares have been transferred to the main shareholder by resolution of the general meeting ,
- Additional payment to shareholders or cash compensation for shareholders on the occasion of the conversion of legal entities,
- Additional payment to shareholders or the cash compensation for shareholders when establishing or relocating a European company ,
- Additional payment to members when establishing a European cooperative .
The Arbitration Proceedings Act has a total of 17 paragraphs that regulate procedural issues relating to the above points.
