The adinotec AG is a listed public company with headquarters in Munich in Bavaria . The company's CEO was Edmund Krix until October 21, 2015, and Curt Alexander Papenberg since then.

The company was founded on December 10, 2004 in Griesheim. The IPO took place on January 4, 2006 in the Entry Standard of the Frankfurt Stock Exchange accompanied by VEM Aktienbank (today: Dero Bank ). The shares were issued at a price of € 55.55; a total of 1.35 million shares are traded in 2006. In the first half of 2005 the company had sales of € 347,000 and a loss of € 193,000. In the first half of 2006 Neosino generated a deficit of € 800,000 with sales of almost € 900,000. At the Annual General Meeting on April 18, 2008, the name change to adinotec AG was resolved.

According to its own statements, the company intended to manufacture products from nanoparticles with a size of three to ten nanometers . Food supplements and cosmetics should be marketed. According to the company, the mechanical grinding of minerals into nanoparticles should make it easier for the body to absorb and use the substances. However, no scientific proof of the special effects of nano-minerals could be provided. For this reason, the company changed its research direction and concentrated on the production of polymers for use in foundation consolidation in road construction. The product, originally called nanoSTAB, was manufactured by the Adinotec subsidiary Poligate.

According to NDR, the production of the now abandoned food supplements should be carried out by the subsidiary Sanalife LTD in Malta, which was registered there. However, reporters from the NDR could not discover any company there. The silicon contained in the product is allegedly not approved for food supplements and a special permit was neither applied for nor granted. Neosino, which has not existed since 2006, denied these allegations on a website and stated that the silicon was of natural origin.

On August 28, 2009, the Management Board resolved a capital increase with the approval of the Supervisory Board. To this end, the company's existing authorized capital of EUR 600,000 will be used. Initially, a cash capital increase with subscription rights in the amount of up to EUR 200,000 will be carried out by issuing up to 200,000 new shares. The statutory subscription right for the cash capital increase is granted to the entitled shareholders in such a way that the new shares are taken over by VEM Bank AG with the obligation to offer them to the entitled shareholders at a ratio of 2: 1 at a subscription price of EUR 10.00 per share .

On November 4, 2015, the company filed for insolvency due to insolvency and on February 4, 2016, insolvency proceedings under self-administration were ordered. On May 25, 2016, the creditors voted positively on an insolvency plan requested by the court, which is why the insolvency was finally lifted on September 23, 2016 after the recognized creditors' claims were serviced. Since then, Adinotec AG has been debt-free and has full legal capacity.

NDR broadcast “Panorama” from March 9, 2006 and statement

A report by Panorama magazine dated March 9, 2006 raised allegations against neosino AG: An investigation by Markus Antonietti from the Max Planck Institute for Colloids and Interfaces in Potsdam at the beginning of 2006 came to the conclusion that none of the promised nanoparticles were in the examined Neosino products were to be discovered. Rather, the smallest of the particles were 1000 times as large. After the results were published on March 9, 2006, the company's share price plunged 40% and closed at € 68.

The board disputed the result and questioned the correct measurement by the Max Planck Institute. In a statement dated March 10, 2006, the company emphasized that its products had been tested by the University of Giessen (Klaus Rödelsperger, Institute and Polyclinic for Occupational and Social Medicine at the Justus-Liebig University Hospital in Giessen) and by two publicly appointed and sworn experts from Center for Material Analysis, Lauf, (Jürgen Göske and Werner Kachler) actually contain nano-sized minerals.

In October 2005, the German Sports Association (DSB) labeled Neosino products with its “Recommended German Sports Association” seal of approval and recommended them to its members. In the meantime, however, the DSB has announced that it will not extend its contract with Neosino. Neosino AG has been an official partner of FC Bayern Munich since August 2005 . The partnership was brokered by the club doctor Hans-Wilhelm Müller-Wohlfahrt , who also works as a consultant for Neosino. The former Austrian skier Hans Enn is a representative for “nanoproducts” at Neosino.

Shortly after the report, the Frankfurt public prosecutor began investigations based on an anonymous complaint against the company on suspicion of capital investment and prospectus fraud . The preliminary investigation was closed in April 2006. On March 29, 2006, the company stated at a press conference: "Neosino Nanotechnologies AG has refuted allegations made by the ARD magazine Panorama on March 9, that Neosino products do not contain nano-sized minerals as stated." However, the existence of these particles could not be proven in the reports submitted. On the same day, the company obtained an injunction against the NDR not to repeat certain statements in its reporting.

According to information from the NDR on June 14, 2006, Neosino is no longer allowed to use many of its previous advertising claims after a judgment issued by the Frankfurt Regional Court. A corresponding declaration of omission was recognized by Neosino and had to be signed by the company by the end of September 2006. The declaration of omission refers to formulations that indicate special effects or curative effects in diseases. The Association of Social Competition took legal action against these advertising claims. Neosino described this as a minor adjustment to the product descriptions and advertising messages.

The preliminary injunction, which forbade the NDR to repeat certain statements in its reporting, was repealed on July 21, 2006 by the Hamburg Regional Court.

On August 3, 2006, Spiegel-Online published an article according to which a pilot study and a study comparing the products with conventional and much cheaper preparations came to the same conclusion: Neosino AG products show no advantage over cheaper supermarket items.

Property rights

The company does not hold any patents of its own , but rather purchases the know-how from a partner via a subsidiary in Malta: According to its owner, the “Fachlabor Gerd Thöne ” has developed a mechanical grinding process with which minerals such as silicon, calcium and Have magnesium crushed into nanoparticles. According to Neosino founder Krix, this works “without chemistry and genetic engineering” - and according to co-director Bruno Wüthrich there is no patent protection for this either. Thöne holds the rights to the web address neosino.de. At the beginning of 2001 he was already selling mineral products - albeit without a nano label.

In the patent applied for by Gerd Thöne, a remedy for internal use, in particular against cancer, is described. The invention relates to a remedy for internal use, in particular against cancer diseases. The remedy has minerals with a grain size of 1 to 150, in particular 1 to 20 nanometers.

The Neosino securities prospectus states:

"Sanalife Ltd., Malta, a subsidiary of Neosino Nanotechnologies AG, signed a" patent license agreement and framework agreement on economic cooperation "with the Gerd Thöne ... specialist laboratory on February 9, 2004.
