This article describes the history of Arques Industries AG , the former name of Gigaset AG .

The company was founded on January 26, 1900 under the name AG Bad Salzschlirf as a spa treatment company in Bad Salzschlirf . The company operated under this name until February 1, 2001. Finally, insolvency proceedings (plan proceedings ) were opened against the assets of AG Bad Salzschlirf .

On May 17, 2002, Peter Löw took over 61 percent and Buchanan 22 percent of the company; they had brought 83 percent of the company under their control. Shortly afterwards, Löw took over the chairmanship of the board. On June 24, 2002, the former AG Bad Salzschlirf was renamed Arques; According to the articles of association, the company's purpose was expanded to include the acquisition and restructuring of medium-sized companies. On August 27, 2002 the bankruptcy proceedings could be canceled.

On September 2, 2002, the telecommunications provider Tesion Communicationsnetze Südwest GmbH & Co. KG was taken over by Energie Baden-Württemberg ( EnBW ), which has 60,000 customers and achieved sales of 89.5 million euros in 2001. The first investment was acquired on August 14, 2003, the Schierholz Translift group from Bremen . On December 16, 2003, Arques was renamed Arques Industries.

On July 24, 2007 it was announced that Arques had acquired the IT distributor Actebis from the Otto Group for 110 million euros. Actebis is said to be number three among the IT distributors in Europe and at that time employed around 1,300 people. This transaction, with a turnover share of 2.5 billion euros per year, was the largest takeover by Arques to date. Later on, Actebis 'national subsidiaries in Denmark, Norway and Sweden, which were still owned by the Otto Group, were also taken over, which increased Actebis' sales share at Arques to over 3 billion euros.

On September 26, 2007, Deutsche Börse announced that it would list the company's shares in the MDAX from October 1, 2007 , from which it had to switch to the SDAX in June 2008 due to insufficient market capitalization . On March 22, 2010, the share also dropped out of this selection index.

On October 1, 2008, Siemens sold 80.2% of its shares in the communications division Siemens Home and Office Communication Devices (subsequently renamed Gigaset Communications) to Arques for 45 million euros; this led to a bitter dispute with Siemens over outstanding payments in the amount specified and guarantees of 15 million euros. In the course of this legal dispute, Siemens filed a fraud complaint, which led to a police raid on the premises of Arques Industries. The litigation eventually ended in a settlement.

At the beginning of 2009, several investments were sold as a package to BluO . BluO is a private equity fund company based in Luxembourg , which was founded in autumn 2008 by the former Arques board members Peter Löw and Martin Vorderwülbecke . Markus Zöllner, a former member of the Arques board, is also at BluO.

On July 22, 2009 the European Commission announced that it had fined Arques Industries as part of antitrust investigations against various European companies in the calcium carbide sector. In summer 2009 Arques sold the ITC distributor Actebis to Droege Capital GmbH for at least 40 million euros. On August 26, 2010 there was a scandal during the general meeting. Peter Löw and some shareholders overthrew the old board. On September 1, 2010 the old board members Hans Gisbert Umke and Michael Hütten left the company; the former chairman of the board, Peter Löw, took over the post of chairman of the supervisory board. Maik Brockmann took over as CEO. In November 2010, Arques Industries decided to change its corporate objective: In the future, Arques will no longer buy and renovate smaller companies, but rather existing investments such as B. sell van Netten and only act as a telecommunications company. On December 20, 2010, an extraordinary general meeting resolved to rename the company Gigaset AG .
