Brønnøysundregistrene

Brønnøysundregistrene is the name of the central register with a large number of databases in Norway in Brønnøysund . It is not the only national register, but it is the only one that is so extensive.

The Brønnøysundregistrene is a public register that keeps records of the registered companies and provides information on the documents stored there. The Brønnøysundregistrene provides information on essential legal and economic circumstances (" facts ") of companies and can in principle be viewed by anyone. Entries in the commercial register enjoy comprehensive protection of traffic and trust.

Surname

The name of the register is derived from the place Brønnøysund , supplemented with the Norwegian word registrene for 'register'.

Basics

The Brønnøysundregistrene is managed completely electronically on the basis of an EU directive . Both the transmission and submission of applications for registration as well as information about the content of the entries and the documents stored are generally and with a few exceptions using electronic information and communication systems (see also: European Justice Portal ).

The legal and technical bases are regulated by law.

The two most important registers are the commercial register ( Foretaksregisteret ) and the central register ( Enhetsregisteret )

Commercial register ( Foretaksregisteret )

Companies that are required to register must register before commencing business operations.

Companies subject to registration

Companies must register in the commercial register if this is provided for in the Foretaksregisterloven 'Law on company registration '. These are e.g. B.

Companies not subject to registration

Other companies, such as B. sole proprietorships not required to register can register at Brønnøysundregistrene.

Central register ( Enhetsregisteret )

Companies subject to registration must also register in the central register ( Enhetsregisteret ) in accordance with the Lov om Enhetsregisteret 'Act on the Central Register' . Both registers are linked. Registration is usually done together.

Companies not subject to registration can be entered in the central register.

Organization number

With the registration in the central register, the company receives a nine-digit organization number ( organization number ).

Mandatory information in business papers

Companies registered in Norway are required to provide the organization number and the name of the company on their website, letterheads and other relevant documents.

Companies that are also registered in the sales tax register ( Merverdiavgiftsregisteret ) must also add the letters MVA to the organization number on sales documents .

A third party must allow facts that are entered in the Foretaksregisteret / Enhetsregisteret to apply against them (“positive publicity”). However , a third party does not have to accept notifiable facts that are not or not so entered in the Foretaksregisteret / Enhetsregisteret , provided that they did not know and did not need to know them ("negative publicity").

Disclosure requirement

Certain companies in Norway are also required by EU directives and regulations to disclose their annual accounts . The disclosure requirement depends on the size of the company.

Companies that are required to register must be registered before they commence business operations and this is generally subject to a fee. Registration in the central register ( Enhetsregisteret ) is free of charge.

The provision of information is partly free of charge via the Internet , partly subject to a charge, and in certain cases can only be sent by post. You can research the company name, registered office, business address, registration court and registration number online free of charge.

Register access and data protection

The Brønnøysundregistrene should fulfill a publication, proof, control and protective function (negative / positive publicity). Anyone is therefore permitted to inspect the Brønnøysundregistrene and the documents submitted there.

In principle, data protection does not restrict the right of inspection, as there is a public interest in inspection.

Architects

There is a separate list of architects who specialize in the planning and construction of single-family houses ( Småhusregisteret ).

Health Workers Register

In the health personnel register ( Helsepersonellregisteret ), which is updated daily, all persons are registered who have a permit or license according to the Health Personnel Act ( Helsepersonelloven ) or the Veterinary Personnel Act ( Dyrehelsepersonelloven ).

Concession register

In the concession register, which is updated every hour, companies and individuals from the following industries are registered, which are under the supervision of the financial supervisory authority:

  • Banking and finance sector ( bank og finans )
  • Real estate agent ( eiendomsmegling )
  • Insurance and pension ( forsikring og pensjon )
  • Insurance brokerage ( forsikringsformidling )
  • Debt collection ( debt collection )
  • Bookkeeping and auditing ( regnskap og revisjon )
  • Securities trading ( verdipapir ).

Lawyers and Legal Aid Register

All lawyers ( advokat ) and legal advisers ( rettshjelper ) working in Norway are registered in the register of lawyers ( Register om Praktiserende advokater og rettshjelpere ) .

VAT register

The VAT register ( Merverdiavgiftsregisteret ) basically includes all entrepreneurs whose turnover and withdrawals have exceeded 50,000 NOK (around 4,782 euros, exchange rate as of August 31, 2020) in the course of the last 12 months .
