Sociedade Anónima (Portugal)

The Sociedade Anónima (abbreviation: SA , SA or S / A ) is a public limited company under Portuguese company law . The legal basis is the Código das Sociedades Comerciais of September 2, 1986, last reformed on June 30, 2006. The share capital is at least 50,000 euros. Shares can be issued with or without par value, the minimum amount for par value shares is 1 cent. The Sociedade Anónima must have at least five founding partners and can be organized in a monistic or dualistic manner . The organs of the company depend on the organizational structure. The highest body in monistically organized companies is the general meeting , other bodies are management and the supervisory board . Dualistic managed companies have a management board , a general council and a supervisory body.

With the Sociedade Anónima Desportiva (SAD), a comparable legal form for sports clubs was created in the 1990s. It is mainly used for the professional football departments of sports clubs such as Benfica Lisbon , Sporting Lisbon , FC Porto or, most recently, Belenenses SAD .
