AG & Co. KGaA

The AG & Co. KGaA is a partnership limited by shares (KGaA), whose general partner is a stock corporation (AG). By choosing this mixed form, the liability of the limited partnership can be limited to shares without having to give up the legal form of the limited partnership. The limited partners of this company are still the limited shareholders of the KGaA. This legal form is often chosen for listed family companies or companies with an influential major shareholder whose family or major shareholders want to sell shares in their company but want to retain control of the company.

The AG & Co. KGaA is a relatively young form of company, which, like the GmbH & Co. KGaA, owes its existence to a ruling by the Federal Court of Justice in 1997.

Companies that have opted for this legal form are, for example, Henkel , Michelin or Targobank (formerly Citibank Privatkunden AG & Co. KGaA.)
