Entrepreneur society (limited liability) & Co. KG

The entrepreneurial company (limited liability) & Co. KG or UG (limited liability) & Co. KG is a special form of the limited partnership (KG) and thus a partnership under German law .

In contrast to a typical limited partnership, the personally liable partner ( general partner ) is not a natural person, but an entrepreneurial company (limited liability) . The aim of this corporate law construction is to exclude or limit liability risks for the people behind the company and, if necessary, to let the reserve formation prescribed for the UG (limited liability) actually run empty. This legal form is often chosen when a commercial character is sought from a tax point of view, but the shareholders do not want to provide liquidity and do not have to do so due to the company's business activities. This can e.g. B. be the case with a family company managing property.
