The Lloyd Fonds AG is a bank-independent asset managers and active asset manager headquartered in Hamburg . In the past, Lloyd Fonds made over 100 investments, mainly in real assets, with a total volume of around 5 billion euros. In August 2018, the realignment of business activities on wealth management, own, was actively managed liquid mutual funds and digital portfolio management decided.

history

"Lloyd Fonds Gesellschaft für Unternehmensbeteiligungen mbH & Co. KG" was founded in 1995. In 1999, the subsidiary Lloyd Treuhand GmbH was founded, which has been responsible for investor support ever since. Activity as an issuing house

From 1995 the company conceived and sold closed funds in the maritime sector . With the real estate fund "Four Retail Properties in Northern Germany", the company expanded its range of investments in 1999 to include real estate. In 2002, Lloyd Fonds AG launched the first wind energy fund (for a wind farm in Coppanz, Thuringia ). The British capital life insurance market entered the market in 2004. In 2006, Lloyd Fonds AG and another issuing house placed a private equity fund. In 2007 the company's first hotel real estate fund and the first aircraft investment were launched. Lloyd Fonds AG launched the latest of the current twelve real estate funds in 2012.

Activity as asset manager and provider of mutual funds

Since the 2nd quarter of 2019, the focus of the company's activities has been on its own, actively managed retail fund line, digital portfolio management and individual asset management. Since April 1 of this year, Lloyd Fonds has been offering open-ended investment funds ( equity , bond and mixed funds ). As part of the realignment, Lloyd Fonds took over 90% of the shares in Hamburger Vermögensverwaltung Lange Assets & Consulting GmbH in November 2019 , which manages a public fund close to the money market and assets worth around EUR 350 million.

By taking over 90% of the shares in December 2019, the Hamburg-based investment company SPSW Capital GmbH was incorporated. The company manages two mutual funds and one hedge fund with client assets of around 650 million euros.

LAIC Vermögensverwaltung GmbH was founded in 2019 for the digital offer of Lloyd Fonds AG, which started operations at the end of March 2020 after receiving the 32 KWG license from BaFin . In April 2020, Lloyd Fonds launched the digital asset manager “LAIC Advisor”.

Corporation

In 2001 the company's legal form was changed to that of a stock corporation. In 2005, Lloyd Fonds AG was listed in the Prime Standard of Official Trading on the Frankfurt Stock Exchange. In October 2012 the company switched to the Entry Standard and then from March 2017 to the newly created Scale segment of Deutsche Börse.

In 2011, Lloyd Fonds AG strengthened its equity base through a capital increase that was implemented through the issue of new shares. The ACP Fund V LCC fund launched by the American investor AMA Capital Partners acquired the majority of the shares. With a capital share of 49.9%, AMA became the company's main investor. In 2018, Deutsche Effecten- und Wechsel-Beteiligungsgesellschaft AG (DEWB), Jena, took over slightly more than half of these shares from AMA Capital Partners as part of an over-the-counter share purchase agreement. AMA sold the remaining Lloyd Fonds shares it owned to investment funds managed by SPSW Capital GmbH Hamburg, a portfolio manager closely related to DEWB. Another 10 percent capital increase by way of the private placement of new shares took place in June 2018.

Lloyd Fonds financed the acquisition of Lange Assets & Consulting GmbH , which was completed in November 2019, through a capital increase against contribution in kind: Part of the purchase price for the asset manager was paid in the form of 193,608 newly issued Lloyd Fonds shares.

In connection with the contribution of SPSW Capital , a mixed capital increase took place in December 2019: First, 1,500,000 new shares with a total value of EUR 8 million were placed, the proceeds of which were used to finance the cash compensation for the acquisition of the investment manager. In the course of the subsequent capital increase in kind , the previous shareholders of SPSW Capital also received 1,500,000 newly issued Lloyd-Fonds shares. This increased the share capital of Lloyd Fonds AG to EUR 13,265,914.

management

Torsten Teichert has been a member of the Lloyd Fonds AG Management Board since 2001. After a change in management at the end of 2017, Klaus M. Pinter became sole director on January 1, 2018. Since July 1, 2018, there has been a second position on the Management Board, which Jochen Sturtzkopf held as Chief Sales Officer until December 31, 2019. Klaus M. Pinter has been Chief Financial Officer since then . In connection with the realignment of the company to become an active asset manager and provider of open-ended investment funds, Michael Schmidt took up the position of third member of the board ( Chief Investment Officer ) on April 1, 2019 .

Achim Plate has been Chief Executive Officer ( CEO ) since January 1, 2020 . He is responsible for the company's strategy, the LF system (digital portfolio management) division and sales. Klaus M. Pinter's board mandate ended with effect from April 15, 2020. CEO Achim Plate took over his duties as CFO.

Lloyd Fonds AG shares have been traded on the stock exchange since 2005 and have been listed in the newly created Scale segment for small and medium-sized companies since March 2017 . The most important shareholder of Lloyd Fonds AG is Deutsche Effecten- und Wechsel-Beteiligungsgesellschaft AG (DEWB); it held around 25.65% of the shares directly or, since October 2018, indirectly via its subsidiary DEWB Effekten GmbH . In connection with the capital increase in December 2019, DEWB's shareholdings fell below 25%.

Products and business

Lloyd Fonds AG was founded as an investment and asset manager for tangible assets. The investment spectrum of the around 100 funds implemented to date includes shipping, real estate, British endowment insurance , private equity , renewable energies , aircraft and portfolio funds. Since 2012 the company has focused on the two asset classes of shipping and real estate.

To date, several real estate investments with an investment volume of around 600 million euros, over a hundred ships (4 billion euros) and four aircraft funds (350 million euros) have been financed. Together with investments in wind farms (56 million euros), British life insurance companies (270 million euros) and private equity (22 million euros), the total volume is over 5 billion euros. Lloyd Treuhand GmbH manages the capital of around 53,000 fund investors.

Lloyd Fonds AG's activities include fund design, prospecting, sales, portfolio management, ongoing asset and risk management and investor support. In addition, the company provides services such as advice and transaction management in the real estate sector.

Digital asset management

Lloyd Fonds has been offering a digital investment solution for private customers under the dual brand LAIC since April 2020. The individual custody accounts are managed by the LAIC advisor, an artificial intelligence-controlled algorithm that compiles individual investment portfolios from around 10,000 actively managed mutual funds and around 400 ETFs . According to the company, LAIC distinguishes itself from other robo-advisor providers through its focus on actively managed funds; ETFs are therefore only added to optimize costs.
