As a corporation under public law, the Sachsen-Finanzgruppe (SFG) is the sponsor of the two Saxon savings banks affiliated to it .

Structure and legal basis

The Sachsen-Finanzgruppe was established on the basis of §§ 49 ff. Of the law on public credit in the Free State of Saxony of December 13, 2002 (“Sächsisches Sparkassengesetz ”) as a legal corporation under public law. It is the sponsor of the savings banks transferred to it and was a shareholder in Sachsen LB until they were sold to the Landesbank Baden-Württemberg in 2007 . It does not conduct any banking business itself and is therefore not a credit institution under Section 1 of the KWG . She started her work on September 1, 2003 as the legal successor to the Sachsen-Finanzverband (SFV), which was dissolved at the same time.

The Sachsen-Finanzgruppe includes the Ostsächsische Sparkasse Dresden and the Sparkasse Mittelachsen .

Shareholders

According to Section 53 of the Saxon Savings Banks Act, the Sachsen-Finanzgruppe has share capital in which Saxon districts and district-free cities, special-purpose associations formed by them at special-purpose savings banks and the Free State of Saxony can participate. The participation of third parties ("other persons under public and private law") is possible up to a total of 49 percent of the share capital. Shareholders are currently:

organs

The organs of the Sachsen-Finanzgruppe according to the Savings Bank Act are the shareholders' meeting and the board of directors.

The shareholders' meeting is the representation of the shareholders. Each shareholder is represented by at least one member. The voting shares of the members are based on the amount of the respective participation in the share capital. The chairman of the shareholders' meeting and his deputy are elected for a maximum of five years. The current chairman is District Administrator Michael Geisler.

The board of the Sachsen-Finanzgruppe consists of at least two members who are elected by the shareholders' meeting for a maximum of five years. He represents the financial group externally and conducts its business. Since July 2015, the board has consisted of Joachim Hoof , the chairman of the board of the Ostsächsische Sparkasse Dresden, and Prof. Hans-Ferdinand Schramm, the chairman of the board of the Sparkasse Mittelachsen.
