Chiron Corporation
The Chiron Corporation was an international American biotechnology company based in Emeryville , California , which was acquired by Novartis on April 20, 2006 .
The Chiron Corporation was founded in 1981 by William Rutter , Edward Penhoet and Pablo Valenzuela and went public in 1983 . The company was able to show its first profit in 1990. In 1991, Cetus Corporation was acquired for $ 660 million. This represented the largest acquisition of a biotechnology company to date . The Cetus Corp. had developed aldesleukin ( Interleukin-2 , Proleukin®), which received marketing approval from the Food and Drug Administration (FDA) in 1992 for the treatment of metastatic kidney cancer , and in 1998 for the treatment of metastatic melanoma . In 1995, Chiron acquired the Iolab division of Johnson & Johnson and Viagene Inc. from San Diego, and in 1996 the vaccination division of Behringwerke .
In 1997, Chiron sold its ophthalmic business to Bausch & Lomb , and in 1998 the Chiron Diagnostics division to Bayer AG . In 1994 the Swiss company Ciba-Geigy started working together and took over 49.9 percent of the shares. With the merger of Ciba and Sandoz to form Novartis in 1996, their stake in the Chiron Corporation fell to 44 percent. In late 2005, Novartis announced that it would take over Chiron for $ 45 per share, or a total of $ 5.1 billion.
