The Stadtwerke Lübeck GmbH is an energy provider in Lübeck and surrounding communities.

history

Stadtwerke Lübeck originally emerged from the “Department of the brand-Assekuranz-Kassel” founded in 1761, which was renamed in 1847 as the “Administrative Authority for Municipal Institutions”. Between 1814 and 1865, the “Department of the Fire Insurance Fund” was assigned the task of street lighting, the collection of paving tax, the gas works and the city water art. Until 1922, the tasks of the municipal utilities were carried out in administrative authorities for municipal municipal bodies as government operations, and in the last century initially each branch of operation was carried out separately, from 1895 the supply branches (electricity, gas, water) together and from 1909 including the transport branch.

In 1922 it was reorganized into a corporation under public law. This legal form was possible due to the statehood of the Free and Hanseatic City of Lübeck. The need for a further reorganization resulted from the loss of Lübeck's independence and its incorporation into the state of Schleswig-Holstein during the time of the “Third Reich”. It was decided in 1941 for the legal form of own operation. It was a classic municipal cross-network company with the supply lines of electricity, gas and water as well as local public transport.

This legal form was retained until 2000. It meant economic and organizational independence, but legal dependency and thus full dependence on the city. The legal basis for this construction was the Schleswig-Holstein Own Operations Ordinance. As a result of the opening of the energy markets (electricity since 1998; gas since 2000), the situation changed for the municipal utilities.

In order to adapt the corporate structures to the requirements of the liberalized energy market, the Lübeck citizenship passed a resolution in 1999 to restructure the company and create a holding structure.

As of December 31, 1999, the company's own operations were initially divided into the company's own supply operations and transport operations. Subsequently, the supply company and the transport company were incorporated into the limited liability company “Energie und Wasser Lübeck GmbH” (EWL renamed “Stadtwerke Lübeck GmbH” (SWL) and “ Stadtverkehr Lübeck GmbH ” (SL)) in accordance with Section 168 of the Transformation Act outsourced.

In the course of a non-cash foundation, the shares of EWL and SL were then brought into Stadtwerke Lübeck GmbH (SWL - today Stadtwerke Lübeck Holding GmbH (SWLH)) at 94% each. The Hanseatic City of Lübeck retained a 6% stake.

In 2005, the Danish energy supply company DONG Naturgas A / S (meanwhile: Ørsted ) took a 25.1% stake in SWL as a strategic partner. The Hanseatic City of Lübeck kept 4.9% and Stadtwerke Lübeck Holding GmbH 70% of the shares in SWL. In 2013 DONG sold its shares to Stadtwerke Aachen (STAWAG).
