The AE&E Group GmbH (abbreviated AE&E ) was the holding company of a group of plant construction companies in the field of energy and environmental technology with headquarters in Austria . The group included more than 25 companies worldwide, the largest of which were in Austria (Raaba / Graz, Vienna), Switzerland (Zurich), Germany (Nuremberg, Cologne, Ratingen), France (Paris) and Spain (Bilbao).
The group of companies was owned by A-Tec Industries , which were in the process of insolvency, and represented the largest area within A-Tec with around 40% of sales. As a result of the insolvency of A-Tec Industries AG, AE&E also had to file for bankruptcy. The AE&E group was then broken up.
According to the company, the AE&E portfolio included boilers and boiler systems , gas cleaning systems , thermal waste treatment systems , turnkey biomass and industrial systems, coal gasifiers and valves as well as services from engineering to modernization and conversion to system operation.
history
The company AE&E goes back to the predecessor companies Simmering-Graz-Pauker (mechanical engineering group, founded in 1854) and Waagner Biro (steel construction company, founded in 1854). In 1989, the state-owned company SGP was split up and the energy and environmental technology division was merged with parts of VA . In 1992 this part merged with Waagner-Biro and formed AE&E.
In 1996 the company took over the first shares (25%) of the Croatian boiler manufacturer Đuro Đaković . A takeover of 100% took place in 2000.
In 2002 A-Tec took over the company.
In the following years the company expanded massively through acquisitions:
- 2003 Von Roll Inova , Switzerland (Zurich)
- 2004 Babcock Espana , the Spanish subsidiary of Deutsche Babcock
- 2005 two smaller boiler manufacturers in India and Australia
- 2006 Alstom's industrial boilers and power plants division with branches in
- Germany (Cologne, Nuremberg); now operates as AE&E Inova GmbH ,
- Czech Republic (Brno); formerly První Brněnská Strojírna , then ABB ALSTOM POWER Czech, sro , now Austrian Energy & Environment CZ sro
- Australia (Sydney)
- 2007 Lentjes , Ratingen
The massive acquisitions came to an abrupt end in the following years. On November 24th, 2010, after the bankruptcy of the parent company, AE&E had to file for insolvency at the Vienna Commercial Court ( restructuring procedure without self-administration ).
According to an article in the industry magazine, the AE&E board of directors misled with accounting tricks. In addition to the public and banks, Mirko Kovats were also affected.
At the beginning of December, Andritz AG announced that it would buy and renovate AE&E Austria (that means the Austrian branches). These now operate under the name of Andritz Energy & Environment .
The Swiss intermediate holding company AE&E Inova Holding AG had to apply for a debt restructuring moratorium in December 2010 because a loan to AE&E Group GmbH had to be written off.
The other companies were sold as follows:
- The Swiss subsidiaries AE&E Inova and KRB AG as well as AE&E Inc., USA were sold to the Japanese industrial group Hitachi Zosen .
- The Russian company EM Alliance took over the Croatian subsidiary Đuro Đaković (company)
- Lentjes was bought by the South Korean Doosan group.
- Altawest SAS took over AE&E Inova France SA, AE&E Maintenance France SAS and AE&E Inova France Operations SAS
- AE&E CZ, sro, Czech Republic went to Bilfinger Berger in 2011
- AE&E Chennai Works Ltd. and IDEA Private Ltd. were sold to Doosan (South Korea) and Dodsal (India)
- AE&E Inova GmbH, Germany had to file for bankruptcy in November 2010. The Japanese IHI Corporation acquired the plant and boiler construction division, Keppel Seghers acquired the know-how relating to waste incineration plants and enpros acquired the engineering division.
- AE&E Australia had to file for bankruptcy and was then sold to RCR Tomlinson
