The Comparex AG is an international company for IT services , with headquarters in Leipzig . After the takeover of COMPAREX by SoftwareONE , which was completed on February 1, 2019, a rebranding process from Comparex to SoftwareONE has been running since April 1, 2019 .

history

Comparex was founded in 1986 as a joint venture between Siemens and BASF to market mainframes from the OEMs Hitachi and Fujitsu . Siemens left the company at the end of 1988. After that, only Hitachi systems were marketed. BASF only took over 100% of the shares in 1991.

After a drop in sales in 1995, BASF gave 40% of the Comparex shares to the service provider Persetel from South Africa and, after handing over 75% of the shares in 1998, withdrew completely in 1999.

A management buy-out took place in 2002 and the partnership TDMI was formed around Comparex, which went bankrupt in 2009. After their bankruptcy in 2009, PC-Ware founded the new company COMPAREX PC-Ware Deutschland GmbH with former COMPAREX employees .

Comparex AG has been 100% owned by Peruni-Holding, a subsidiary of Raiffeisen Informatik, since 2011 .

PC-WARE was founded in 1990 by Knut Löschke as a GmbH . In 1998 it was converted into a public limited company. On May 5, 2000, the company was listed on the Frankfurt Stock Exchange .

After the takeover of several local companies from Saxony in 1999 and 2000, the European subsidiaries of the American company Programmer's Paradise Inc. , which operated under the name Logicsoft , were purchased on April 1, 2001 , which is the first time that the area of ​​activity crossed borders Germany expanded.

In 2002 there was a 70 percent majority stake in BISON Systems AG in Switzerland, which has been operating under the name PC-Ware since April 2007 . In 2003 PC-Ware switched to the Prime Standard of the Frankfurt Stock Exchange.

In March 2006, the Ravenholm group of companies, which is mainly active in Scandinavia, was taken over. All companies have since been renamed under the name PC-Ware . On June 1, 2007, several Comparex companies were taken over, whose name change is currently not planned due to the clearly different business areas. As a result of these acquisitions, the number of employees worldwide rose to over 1,700 by the end of 2010.

So far, subsidiaries have been founded in Algeria, China, Serbia, India, Kazakhstan, Russia, Romania, South Africa and the Ukraine.

On October 13, 2008, Raiffeisen Informatik , a company of the Raiffeisen Banking Group Austria , announced its intention to take a strategic stake in PC-Ware. Raiffeisen Informatik GmbH then brought in 36.6 million euros in PC-Ware with an immediate capital increase of PC-Ware through its group company Peruni Holding GmbH and acquired around 73 percent of the shares in PC-Ware as part of a subsequent voluntary public takeover offer.

Knut Löschke was CEO until June 24, 2009 and held 13 percent of the company's shares. His contract as Chairman of the Management Board had been prematurely extended to 2013 by the Supervisory Board at the end of 2007, but the Raiffeisen banking group's entry at the end of 2008 changed the majority of the capital owners. Therefore Löschke and the CFO Tillmann Blaschke resigned from their offices. Klaus Elsbacher was appointed by the supervisory board as the new chairman of the board, Hansjörg Egger as board member for Operations / Organization and Thomas Reich as chief financial officer. On September 9, 2009, the hardware sales and hardware- related services areas were closed. In March 2010, Löschke sold his shares to Peruni Holding GmbH , which now holds 100 percent of the PC-Ware shares through a squeeze-out . As a result, the company revoked the admission of PC-Ware common shares to the Frankfurt Stock Exchange with effect from January 24, 2011.
