history

Gategroup's roots lie in the national airline Swissair, which was founded in 1931 . In 1992 Swissair outsourced its catering activities to the newly founded subsidiary Gate Gourmet. With an estimated company value of around 6 billion Swiss francs, this was considered the crown jewel of Swissair. As a result of September 11, 2001 and the decline of Swissair, Gate Gourmet found itself in considerable financial difficulties. In the course of the liquidation of Swissair, Gate Gourmet was sold to the US financial investor Texas Pacific Group for 1.1 billion francs . The dramatic rise in crude oil prices also meant that Gate Gourmet's customers, the airlines, were under great cost pressure and, among other things, made drastic savings in the meals that were served on board. Several airlines went bankrupt, so that Gate Gourmet itself became a restructuring case. The cost pressure transferred from the airlines to Gate Gourmet was also felt by the staff.

From October 7, 2005 to April 7, 2006, the employees of the Gate Gourmet branch at Düsseldorf Airport went on strike . The workers organized in the food-pleasure-restaurants union (NGG) tried to prevent the extension of working hours to 40 hours per week, the cancellation of five days of vacation and allowances and to enforce a wage increase of 4.5 percent. At the end of the strike, a collective bargaining package consisting of a collective wage agreement, a general collective agreement and a social collective agreement was concluded. The strike was the longest in the history of the NGG union.

On April 5, 2006, LSG "Sky Chefs" and GateGourmet announced that they would found a joint venture company for the catering business at Paris' Charles de Gaulle Airport. The European Commission approved this merger in July 2006. Gate Gourmet France, based in Roissy CDG, was founded in 1999 and employs around 300 people (as of April 2006). Over 3 million meals are produced each year. On April 23, 2007, LSG-Gate Gourmet Paris went bankrupt.

After the Texas Pacific Group sold its stake in Gate Gourmet to Merrill Lynch on March 1, 2007 , Gate Group began a phase of restructuring, which led to the merger with other companies to form Gategroup and finally to the IPO in May 2009 .

In April 2016, the Chinese HNA Group submitted a takeover offer. After the takeover period had expired (July 21, 2016), HNA Group controlled 63.6% of the voting rights and, after having also received approval from the EU, considered the takeover to be successful. Additional shares were acquired by mid-October 2016 (now 96.1%). HNA was aiming for a stake of 98.0% in order to be able to declare the remaining shares invalid. Independently of this, HNA Group made preparations in October 2016 for an application to delist Gategroup from the SIX Swiss Exchange. Gategroup was fully acquired by HNA in 2016 for $ 1.4 billion, and at the end of April 2017, the shares were delisted from the SIX Swiss Exchange.

The heavily indebted HNA Group announced details of its plan in early March 2018 to part with the majority in Gategroup and to carry out another Gategroup IPO. At the end of March 2018, the boards of directors of HNA and Gategroup decided not to implement this plan.

In August 2018, the subsidiary Gate Gourmet Switzerland plans to take over the previously independent SCK Sky Catering Kitchen, based in Ulm and with locations at the airports in Berlin, Nuremberg and Stuttgart. The Federal Cartel Office has yet to agree. The takeover of the European business of LSG Sky Chefs followed in 2019 .
