The Ilztalbahn GmbH was founded on November 14, 2006 by members of the Ilztalbahn eV association as part of the reactivation efforts of the Passau – Freyung railway line . The purpose of the GmbH is to reactivate the railway line from Passau to Freyung and to operate leisure traffic there. On December 12, 2006, the entry was made in the Passau commercial register under the number HRB 7054. Helmut Streit and Thomas Schempf, former board member of Pro Bahn Bayern, became managing directors . The share capital is currently € 300,000. In March 2009, as a partner of Ilztalbahn GmbH, Rhein-Sieg-Eisenbahn GmbH received an operating license from the Bavarian Ministry of Economic Affairs to operate the Ilztalbahn. The Ilztalbahn GmbH then leased the railway line from DB Netz for 50 years in April 2009 and made it passable again.

On September 12, 2010, the Waldkirchen – Freyung section went into operation. On July 16, 2011, the entire line for passenger traffic was put into operation. In the first season, which ended on October 31, 2011, 28,000 passengers traveled on ITB trains. During the winter break, the route was further upgraded. In particular, the security of level crossings was on the agenda. In addition, new platforms in Stelzlhof near Passau, Unterjacking near Tiefenbach (near Passau) and Karlsbach near Waldkirchen were prepared. Between April 28 and October 28, 2012, the second driving season took place on 27 weekends and six public holidays. In addition, several privately ordered special trips were processed on the railway line. A total of 50,000 passengers were welcomed. In October 2012, the previously rented Waldkirchen train station was acquired by the Förderverein Ilztalbahn eV. It is to be rebuilt according to monument protection specifications. In January 2013, the district of Passau approved a grant of 15,000 euros to Ilztalbahn GmbH for infrastructure measures in its area.

The ITB owns a railroad vehicle as its own rail vehicle for the maintenance of the line, which was taken over by an Austrian track construction company in spring 2012. In addition, the Klv 53 of the Passauer Eisenbahnfreunde in Waldkirchen has been on permanent loan to the Ilztalbahn GmbH since August 2009. The passenger is mostly with rented vehicles to Netinera belonging Forest Railway handled (weekend traffic) and the Passauer Eisenbahnfreunde (holiday traffic). The line operation as well as the transfer of the Regio-Shuttle for the weekend traffic to Passau is carried out by the ITB with the help of volunteers from the Ilztalbahn development association. These vehicles are equipped with stickers from Ilztalbahn GmbH on the side walls. This traffic is carried out on weekends and public holidays in the driving season from the end of April to the end of October with four pairs of trains between Passau, Waldkirchen and Freyung on weekends and three pairs of trains on public holidays. If the Waldbahn-Regio-Shuttles were not available, vehicles from the Oberpfalzbahn and Agilis were also used.

In addition, the route is reserved for other special traffic from other railway companies , such as the Passau Railway Friends.

Ilztalbahn GmbH is promoting the integration of the Ilztalbahn and its connecting buses into the Igelbus system for the 2020 National Park anniversary as well as daily traffic to the Freyung State Garden Show in 2022 , provided that the State of Bavaria makes a financial contribution.
