After some banks were successfully founded as stock corporations in the middle of the 19th century , such as A. Schaaffhausen'scher Bankverein , Cologne or Disconto-Gesellschaft , Berlin , thought was given to founding a share-based bank in Hamburg. Some Hamburg merchants founded a consortium in 1854 that provided for the establishment of a North German Bank , which should also have the right to issue notes.

The negotiations with the City Council of Hamburg turned out to be difficult and dragged on for years, so that another group of merchants unceremoniously founded the Vereinsbank in 1856, based on the London model.

This group of merchants consisted mainly of Hamburg merchant bankers who traded with England, they were to retain lasting influence in the following years. This group included Johann Christian Söhle from Bankhaus Haller, Söhle & Co. , Johann Heinrich Gossler from Johann Berenberg, Gossler & Co. , Wilhelm Amsinck partner of Johannes Schuback and Sons , Rudolph Schröder from Schröder Gebr. & Co. , Edward A. Newman from Hesse Newman , Georg Heinrich Kaemmerer partner in GH Kaemmerere Sons and a few others. The initial capital was 20 million marks Banco , of which 5 million were reserved for the founding members, the issued shares at 200 Mark Banco were 29 times oversubscribed at the time of subscription. On August 11, 1856, the company was entered in the commercial register and the first provisional business premises were located at Alter Wall 62.

The Norddeutsche Bank was founded 2 days later, now without its own banknotes.
