The Gardeur GmbH is a subsidiary of Kränzle Beteiligungs GmbH and NRW.BANK with headquarters in Mönchengladbach . It produces trousers for women and men. Since February 2012, the company has preferably presented itself to the outside world as “Atelier GARDEUR”. At the beginning of October 2017, the management sent the company into bankruptcy. The renovation efforts that have been ongoing since 2010 have therefore failed for the time being. The company's marketability is to be restored in a planned insolvency procedure. The managing director Kränzle sees the bankruptcy as a good opportunity "to overcome the cash problems and to maintain the Mönchengladbach location."

history

The company was founded in 1920 by Dieter Janssen in Mönchengladbach . In 1959 it specialized in men's trousers. Subsidiaries were established in Germany in the 1960s . The “gardeur” brand was created in 1969. Women's trousers have also been produced and sold since 1980. The establishment of the first production company in Tunisia in 1974 marked the beginning of foreign production in our own factories. In 1979 a second company followed in Dublin / Ireland . This was also relocated to Tunisia in 1993. Since 1996, Gardeur has offered its dealers close cooperation through space management with shop systems .

In 2000 the company was converted into a public limited company. In 2004 the new production and administration building was built in Tunisia. A logistics center with 12,000 m² of additional usable space was also built there . In 2006, Gardeur also opened its own laundry there . In 2008 the Roesner and Janssen families, who all held shares in Gardeur, sold the company to the private equity subsidiary of HSH-Nordbank. In the course of this, gardeur ag was converted into a GmbH . The chairman of the supervisory board, Friedrich Carl Janssen, ended his mandate for the company and the families with the sale of the company.

Products and brand

The brand , which is generally regarded by retailers as more classic, is perceived by the genre as being positioned slightly above average (as of 2011). It is sold through department store groups , chain stores , mail order and specialist retailers . In addition to Germany, the Netherlands, Austria, Great Britain and Russia are gardeurs' core markets.

The brand was relaunched in 2008/2009 by CEO Michael Simon and Advisory Board Chairman Lothar Reiff. With the new lettering and the elimination of the long-standing, distinctive identification mark - the "g" - the realignment, the cut with the past and the new modernity sought by the company should be signaled. A seven-digit amount was invested at the POS for the new brand identity .

The name “Atelier GARDEUR” has been shown on the outside since February 2012. The company sees itself as the market leader in terms of the creative and technical know-how of its trousers. Gardeur describes itself (as of 2013) as the only “full-fledged trouser specialist in Germany”, which operates on the market with several logos (in addition to “Atelier GARDEUR”, “G DESIGN” and “Thomas Rath Trousers”).

The company has been certified as a Fairtrade manufacturer for a number of women's and men's jeans .

In 2010, Gardeur ranked 110th among the European clothing manufacturers with sales of 97 million euros. The last published annual result for the 2009/10 financial year showed sales of 97 million euros. For 2010/2011 89 million euros were expected, for 2011/12 96 million euros. The actual sales amounted to EUR 88.5 million for 2010/11 and EUR 86.9 million for 2011/12. In the 2012/13 financial year, sales amounted to EUR 84.7 million and in the 2014/15 financial year to EUR 83.4 million. The EBITDA fell during the period by 15% to 3.13 million euros.

Employee

In the fiscal year ended September 30, 2008, the company had an average of 2003 employees worldwide. In 2013 there were around 2,000 employees.

In 2010 the company terminated its membership of the employers' association with collective bargaining coverage. The collective bargaining agreement of the West German textile and clothing industry about an increase in wages, salaries and training allowances by 3.6 percent from October 1, 2011 was no longer binding for Gardeur.

The company employs around 1400 people in its own production facilities in Tunisia. Gardeur announced that at least 50 more jobs will be created on site. This roughly corresponds to the size of the employees dismissed in the autumn of 2011 when the company closed down in Augustfehn , Germany.

Earnings development

In mid-January 2012, CEO Gerhard Kränzle, who has been active since the end of 2010, openly described the company to the press as a "restructuring case". In order to save the company, the brand, collections and processes would have to be completely realigned “in a single effort”.

The investor and the financing banks provided the company with a double-digit million amount in mid-2011 to offset the accumulated losses and enable the company to be restructured.

In its annual financial statements as of September 30, 2011, the Gardeur Group reported negative equity of EUR -1.1 million. In the previous year it was +0.3 million EUR. A negative EBITDA of EUR 11.90 million was generated in the 2010/11 financial year.

In the 2011/12 financial year (September 30), the pre-tax loss (Ebitda) fell to EUR 1.6 million - with sales of EUR 87.2 million.

In the 2012/13 financial year, sales amounted to EUR 84.7 million.

After a change of shareholders, Gardeur received eight million euros in fresh equity in order to further advance the renovation.

After changing the majority shareholder in 2013, only 1.4 million euros in losses were generated in 2012/2013 (after −15.1 million EUR in 2010/11 and −4.0 million EUR in 2011/2012).

Managing director and partner

HSH Nordbank AG (Landesbank Hamburg and Schleswig-Holstein) had been the majority shareholder in the Gardeur Group since 2008. The investment was held through Gardeur Beteiligungsgesellschaft and the Capcellence Group based in Hamburg . In its group annual report 2011, the Landesbank reported a capital share of 91.78% (previous year 88.50%) in the Gardeur Group.

The business purpose of GARDEUR Beteiligungs GmbH is to hold and participate in other companies, in particular those that are involved in the design, manufacture and sale (wholesale and retail) of clothing products including accessories and other, in the broadest sense, related fashion and Cosmetic articles as well as the granting of production and sales licenses, in particular under the brand name GARDEUR, as well as the management of own assets.

Since the change of shareholders there have been various restructuring and new appointments within the Gardeur management .

On September 24, 2013, Gardeur announced that the previous majority shareholder would sell her stake to Kränzle Beteiligungs GmbH following regulatory approval (e.g. antitrust authorities). Kränzle Beteiligungs GmbH will then hold 51% and NRW.BANK Beteiligungsfonds 49% of the shares. In addition to Gerhard Kränzle with 86%, his co-managing directors Schulte-Kellinghaus and Kraft each hold 7% in Kränzle GmbH.

Augustfehn

After the company had invested around EUR 1.4 million in a change in the operation of the German plant in Augustfehn in 2009, the Augustfehn location was closed in autumn 2011 (except for the factory outlet). For the affected 70 employees has been with the works council a social plan agreed.

Sports sponsorship

Between 1989 and 2009 Gardeur had the football - Bundesliga club Borussia Moenchengladbach sponsored . The engagement was ended in the course of the change of shareholders. The Brax brand became the successor to the club .
