Violation of the listing regulations and suspension of trading

In July 2009, the BX Berne eXchange admission office imposed a fine of 15,000 francs on Swiss FE Group AG. The reason for this was a violation of the listing regulations of the Bern Stock Exchange. Accordingly, Swiss FE Group AG has “not chosen a state-regulated audit company and consequently has not published a 2008 annual report certified by a state-regulated audit company or submitted it to the licensing office. Furthermore, contrary to the Articles of Association and Art. 698 ff OR, the company did not hold an ordinary general meeting within 6 months and did not meet the financial request for a processing fee of CHF 1,000 for a reconsideration request. ”In addition, the one reported to the Bern stock exchange at this time was and McKinley-Goldman-Smith AG registered in the commercial register as auditors of Swiss FE Group AG according to public publication in the Swiss Official Gazette of Commerce since March 2009 in liquidation.

After the Swiss FE Group AG failed to meet its obligations seven months after the fine, the admission office of the BX Berne eXchange ordered the suspension of trading in the shares of Swiss FE Group AG listed on the stock exchange on February 16, 2010 Threatened March 2010. Since the company had not complied with the requirements of the admission office by February 25, 2010, trading in the shares of Swiss FE Group AG was suspended from March 1, 2010 until further notice.

Since then, the shares have only been traded over the counter on the Open Market of the Frankfurt Stock Exchange , where the listing was resumed on August 13, 2010 after a temporary suspension.
