The Union-Bau AG with central administration in Hoyerswerda was May 1, 1990 through the privatization of the BMK coal and energy by the THA . In addition to the central administration, the main branches north-east in Cottbus and south-east in Dresden also existed with their respective branches.

In 1991 Union-Bau AG was taken over by Dyckerhoff & Widmann AG ( DYWIDAG ), together with a number of subsidiaries such as Expansion Grossenhain GmbH and SST Sachsen-Schwertransport GmbH . At the time of the takeover, the company, with 8,330 employees, had an annual turnover of around 750 million DM. UBAG's foreign branch was the main contractor for industrial construction at BAK Krivoy Rog (Ukraine) until 1992. In the same year, Walter Bau AG and Züblin took over the majority of the shares in DYWIDAG .

The name Union-Bau AG was dropped in 1994, after the company had been fully integrated into DYWIDAG. The company was initially split into two separate companies, Dyckerhoff & Widmann Berlin GmbH (formerly HNL Nord-Ost with HNL Berlin of DYWIDAG) and Dyckerhoff & Widmann Sachsen / Thüringen GmbH (formerly HNL Süd-Ost).
