The Association of Supervisory Boards in Germany e. V. , VARD for short , is a professional association that aims to promote the quality of supervisory board work in Germany. The VARD also represents the supervisory boards at international level, for example as a German member in the European Confederation of Directors' Associations (ecoDa).

aims

The professional association, founded in 2012, wants to give the supervisory boards a voice in dialogue with the media, the public and politics. To this end, he speaks out in public for the respective issues and participates in legislative and regulatory projects in the area of corporate governance through lobbying .

The association is recorded in the public list of the registration of associations and their representatives under No. 2172.

Events

VARD organizes the German Supervisory Board Day (DART) together with the German Corporate Governance Institute. The DART is an event that serves the professional exchange and networking of supervisory boards, executive boards and investors. Every six months, current topics and developments in the corporate governance scene are discussed at the event . Speakers at the event are often chairmen and members of the supervisory board of German DAX companies as well as members of the government commission on the German Corporate Governance Code . The last day of the Supervisory Board held in November 2018 dealt with the supervision of companies owned by a foundation , municipal supervision and family businesses .

Members

The association currently (as of 2017) has around 130 members. This includes supervisory boards, advisory boards and / or boards of directors from the owner side as well as board members of capital market-oriented companies.

According to its own information, VARD is committed to constantly improving the quality and transparency of the work of the supervisory board, anchoring recognized professional standards in terms of German corporate governance and strengthening the reputation of the supervisory board in public opinion.

In January 2013, the association asked the then Chairman of the Supervisory Board, Gerhard Cromme of Thyssenkrupp, to resign in an open letter in the Handelsblatt . Cromme resigned on March 8, 2013, effective March 31. The association also criticized the role of the supervisory board member at the time, Berthold Beitz, as head of the Krupp Foundation in the "Krupp crisis" .

In 2014, the association was critical of the quota of women on supervisory boards.

In 2015, the association asked the ruling mayor of Berlin Michael Müller to renounce his position on the supervisory board at Berlin Brandenburg Airport (BER). As a justification, the association chairman stated that Müller would "damage the profession and the reputation of the supervisory boards in Germany". Politicians should withdraw from supervisory bodies because, as contracting authorities, they already have control over the capital and therefore belong in the shareholders' meeting and not in the supervisory board.

In 2016, the association was critical of Uli Hoeneß's return as president of FC Bayern Munich .

In 2017, the VARD defined twelve professional principles, including independence, diligence and the willingness to take part in systematic training. The VARD u. a. on the management crisis at the Berlin Brandenburg airport (BER), where, according to the association's chairman, Peter Dehnen, the airport's supervisory board intervenes too deeply in operational issues and thus in management tasks. The association also criticized the Corporate Governance Code , where, according to the association's chairman in its preamble, the inclusion of a formulation on the principle of the honorable businessman could threaten a larger number of lawsuits.
