Gerhard Cromme (2006)

Gerhard Cromme (born February 25, 1943 in Vechta ) is a former German business manager . He is chairman and member of the supervisory board of large German companies.

Life

Cromme studied law and economics in Münster , Lausanne , Paris and Harvard from 1962 to 1971 , where he took a three-month PMD training course ( Program for Management Development ). In Münster he became a member of the student association KStV Germania in KV . After the 1st and 2nd state examinations in law, he was awarded the title “Motor vehicle liability in France and Germany. A comparative law study " at the Westphalian Wilhelms University of Münster for Dr. jur. PhD.

Manager career

In 1971 he started his career at Compagnie de Saint-Gobain and then he was chairman of the board of the Vereinigte Glaswerke GmbH (VEGLA) in Aachen and deputy general delegate for the German business of Saint-Gobain.

In 1986 he moved to the Krupp Group, initially as Chairman of Krupp Stahl AG in Bochum , and finally as Chairman of the Board of Management of Fried. Krupp AG Hoesch-Krupp. In November 1987, Cromme endured a long and hard labor dispute. He closed the plant in Duisburg-Rheinhausen - against the resistance of the steel workers employed there . Younger employees have been moved to other companies in the region; older workers could take early retirement (subsidized by the state) . The hostile takeover of the Ruhr competitor Hoesch in 1992 was largely based on his initiative.

In 1999 he was one of the initiators of the merger of Krupp and Thyssen to form ThyssenKrupp AG . Until September 2001 he was Chairman of the Executive Board of ThyssenKrupp (" dual leadership ") together with the former Thyssen manager Ekkehard Schulz , then he became Chairman of the Supervisory Board . In view of misconduct by top managers at ThyssenKrupp during his tenure as chairman of the supervisory board, the Association of Supervisory Boards in Germany (VARD) suggested that he resign from the position of chairman of the supervisory board on January 11, 2013, since his previous handling of the scandals at ThyssenKrupp “gave the wrong picture throw those boards of directors who try with great seriousness and credibility to practice good corporate governance ”. At the general meeting of ThyssenKrupp AG, Cromme and even Berthold Beitz were criticized. Cromme resigned on March 8, 2013, effective March 31. Ulrich Lehner became his successor as chairman of the supervisory board .

Cromme has been a member of the Supervisory Board of Siemens AG since January 2003 and has been Chairman of the Supervisory Board since 2007. His successor has been Jim Hagemann Snabe since January 2018 . Cromme was a member of the Supervisory Board of Axel Springer SE until April 2014 . He was a member of the following supervisory boards: Compagnie de Saint-Gobain (until June 6, 2013), Allianz SE (until August 15, 2012), Deutsche Lufthansa AG (until June 30, 2007), Hochtief AG (until May 10, 2006) , E.ON AG , BNP Paribas , Suez SA , Volkswagen AG and Thales SA

Cromme was chairman of the government commission on the German Corporate Governance Code until June 30, 2008 and was thus instrumental in the restructuring of German company and capital market law.

As the newly appointed chairman of the supervisory board at Siemens, Cromme is said to have recommended in April 2007 to postpone the contract extension for CEO Klaus Kleinfeld . This is said to have induced Kleinfeld not to extend his contract beyond September 30, 2007. On April 20, 2007, Cromme appointed Peter Löscher as his successor ; On August 1, 2013 Josef Käser , until then CFO, succeeded Löscher.

In August 2010, Cromme and around 40 other celebrities signed the Energy Political Appeal , a lobbying initiative of the four large electricity companies to promote the extension of the service life of German nuclear power plants. The Merkel II cabinet (Union / FDP) extended the terms, but revised this decision after the start of the Fukushima nuclear disaster .
