The Dihag Holding ( own spelling DIHAG Holding ) is a group of companies founded in the early 1990s by Heinrich Grütering (1939-2010) with its headquarters in Coswig . The company operates several foundries in Germany , Poland and Hungary .

history

The Dihag Holding essentially emerged from operations in eastern Germany that were taken over by the Treuhandanstalt . Other foundries were later incorporated, such as Silbitz Guss GmbH, founded in 1896 and taken over by Treuhand in 1996 (it was spun off from Dihag in October 2005 by means of a management buyout ). Heinrich Grütering and Francois Ostwald from the Ruhr area owned the company . In 2012 the company was one of the largest private foundry groups in Europe.

In 2005 the company wanted to take over the Buderus Group from Bosch , but the negotiations failed. In 2008 only Buderus Spezialguss GmbH was accepted in Wetzlar , which was then wound up in insolvency as Spezialguss Wetzlar GmbH during the crisis of Dihag Holding.

After the death of Heinrich Grüterings on December 19, 2010, the group of companies was sold in April 2012 to two Ukrainian entrepreneurs, Doretzki and Abdinov, who manage the group through the Swiss subsidiary Dihag Group AG . The external ammunition storage facility in Reken- Hülsten, which was closed in 2005 and which was bought by DIHAG in December 2008 and marketed as a storage location for explosives, and PyrologistiX GmbH, a pyrotechnics distributor that uses the storage facility in Reken, were established after the sale repelled by the group. In 2016, Dihag Holding acquired a majority of 60% in Allard-Europe NV, a Belgian foundry. Another acquisition was made with the gear factory Pirna, which was taken over by the Schmiedeberger foundry from bankruptcy.

Since the takeover by Doretzki and Abdinov in 2012, a total of ten people have held positions as managing directors of Dihag Holding; the term of office was often around two years. A restructuring consultant is currently the sole managing director.

At the beginning of 2017, Dihag Holding had to file for insolvency of its subsidiary Spezialguss Wetzlar GmbH. After only one month of self-administration , the Wetzlar District Court appointed an insolvency administrator who has been winding up the company ever since. According to the published balance sheets, the company has generated losses in the higher single-digit million range since it was founded, which Dihag Holding had to offset.

In addition to the insolvency of Spezialguss Wetzlar, there was a drop in orders in the wind power and shipbuilding markets. By 2018 at the latest, the entire Dihag Holding is said to be a restructuring case. An insolvency law specialist was appointed to the management board in mid-2017. The long-time CFO of the group left the management at the end of 2017. At the beginning of 2018, Ralf Schmitz, a recognized restructuring engineer, was appointed CEO, who previously took over crisis management during the insolvencies of the IVG Immobilien Group and the near bankruptcy of Auto -teile -Unger , and who most recently appeared as restructuring manager of A1 mobil .

In the course of the crisis, the stake in the previously strongest subsidiary, Mecklenburger Metallguss, was sold. This company from Waren an der Müritz , which specializes in ship propellers, announced a drastic decline in orders shortly afterwards due to the lull in ships and the termination of 32 employees.

With Allard-Europe, Dihag Holding also held a majority stake in another company that is mainly involved in the shipping industry. Here, too, the managers have been changed several times since the takeover in 2016. According to a press release dated February 20, 2019, Dihag Holding has parted with Allard.

At Meuselwitz Guss Eisengießerei GmbH , which was hard hit by the crisis in the German wind power industry , an even more massive staff reduction was announced in 2018 - every third employee will have to leave the company. In August 2019, the competitor Silbitz Group announced the entry into Meuselwitz Guss by acquiring shares from a former managing director. Dihag Holding and the Silbitz Group have issued contradicting statements on the transaction - while the Silbitz Group announced a strategic partnership, Dihag Holding denied any discussions or intentions regarding such a partnership. At the same time, the managing director in charge of the foundry since 2016 left the company.

In February 2019, Dihag Holding announced the successful completion of its restructuring. Ralf Schmitz left the management shortly afterwards. However, he is now a member of the supervisory board of Dihag Holding, while his partner, the restructuring finance specialist Benno Hank, is still managing director of Dihag Holding. The restructurer Hank is now the sole managing director of the ailing Meuselwitz Guss Eisengießerei GmbH .

In July 2019, Dihag Holding relocated its headquarters to Coswig in Saxony.
