The Grammer AG is a German company based in Amberg in the Upper Palatinate . It specializes in the development and manufacture of components and systems for car interiors as well as driver and passenger seats for off-road vehicles, trucks, buses and trains.

history

The Grammer AG goes back to the 1880 in Amberg Willibald Grammer founded saddlery Grammer . In this tradition, Willibald Grammer's grandson, Georg Grammer , founded the company for the manufacture of seat cushions in Amberg in 1954 . In 1964 it was possible for the first time to produce sprung driver's seats. In the period that followed, the company expanded increasingly abroad, particularly to Europe and North America. In the 1980s, Grammer also started producing office chairs, truck and bus seats. In 1985 the series production of products for car interiors began. In 1989 the company was converted into a stock corporation and has been operating under the name Grammer AG ever since. Initially, however, the shares remained in the hands of Georg Grammer. In 1990, the company started producing train interiors with the manufacture of seats for the ICE . In 1996, Grammer AG made its stock market debut on the Frankfurt Stock Exchange , with Georg Grammer initially holding the majority of the shares.

In 1998, the company took over the railway seat division of Magna Paulisch GmbH ( Lohr ) for DM 11 million and, in another major acquisition, the entire upholstery division of Eugen O. Butz GmbH, Langenfeld . At the time of the takeover, Magna Paulisch GmbH had 30 employees with a turnover of 25 million DM and was one of the most important providers of seats for regional transport. In 1998, Georg Grammer resigned as Chairman of the Board of Management due to old age and switched to the Supervisory Board, which he was a member of until his death in 2005.

In 2000, the office furniture division was sold with Bürostuhl GmbH as part of restructuring measures in which the Permira investment fund had made a significant contribution by taking over large parts of the block of shares. After the successful restructuring and exit of Permira, the free float briefly rose to over 90% in 2005 with the second IPO .

Two new plants were opened in China in 2005, the Russian truck market was opened up in 2008 and the center console business was expanded in Europe, Asia and NAFTA in 2010 .

In July 2011, Grammer AG acquired 100% of the shares in the Belgian electronics specialist EiA Electronics NV, based in Aartselaar , Belgium. EiA Electronics specializes in the development, integration and sales of electronic components, especially multifunctional armrests in commercial vehicles. EiA's product range includes displays, consoles, control elements, communication modules and sensors.

In February 2013, the headrest specialist Nectec, based in Česká Lípa in the Czech Republic, was bought by the Fehrer Group .

On December 28, 2015, the takeover of the Reum Group announced in October of the same year was approved and completed under antitrust law. In 2018, Grammer made the largest acquisition in its history to date with the complete takeover of the US company Toledo Molding & Die Inc. (TMD) for around 271 million US dollars. The TMD Group develops thermoplastic products, materials and manufacturing processes for furnishing vehicle interiors in Ohio and Michigan and, in fiscal year 2017, generated sales of over 300 million US dollars with around 1,600 employees at eleven locations in the USA and Mexico.

Group structure

The company is divided into the business segments Commercial Vehicles and Automotive . Grammer Commercial Vehicles develops and produces driver and passenger seats for agricultural and construction machinery, forklifts, trucks, buses and trains around the world. In the automotive segment, Grammer supplies headrests, armrests, center consoles and integrated child seats to well-known car manufacturers and system suppliers to the vehicle industry. The automotive business segment generates around two thirds of sales. Thorsten Seehars has been the company's CEO since August 1, 2019. The share with the ISIN number DE0005895403 is listed on the German stock exchange.

At the beginning of August 2018, Jifeng had achieved 46% by purchasing the shares in the Prevent Group . The Bosnian family of investors, Hastor, and their affiliates Halog and Cascade, owned close to 19.2% of Grammer.

In February 2017, the Chinese investor Ningbo Jifeng Auto Parts Co. Ltd (NBJF) exceeded the reportable thresholds of 3% and 5% and rose to become the third largest shareholder with a stake of 9.2%.

As of March 23, 2017, NBJF increased its share of voting rights, held via the affiliated company JAP Capital Holding GmbH, to 10.06% and on May 18, 2017 to 15.07%.
