Swiss Institute of Directors

Swiss Institute of Directors (SIoD) is an association based in St. Gallen , Switzerland , the aim of which is the targeted exchange of knowledge and experience among active board members of companies and organizations and associations in Switzerland.

In addition, the association is committed to the development and review of best practice corporate governance and corporate management guidelines for various economic sectors, to the representation of Swiss board practice in international associations, in the governance course certification and accreditation in Switzerland.

The SIoD association is a member of the global association Global Network of Director Institutes .

The board consists of a president, a vice-president and a representative from each language region (German, French, Italian).

Awards for companies with exemplary remuneration concepts

One of the goals of the Swiss Institute of Directors (SIoD) since 2010 has been to find and reward companies listed in Switzerland with exemplary remuneration concepts. To this end, the SIoD, in cooperation with the University of Lucerne, examines the companies listed in Switzerland. The award ceremony takes place every three years. The three best remuneration systems will be awarded.

The selection of the three award winners among the companies listed in Switzerland was based on the following three main criteria of Martin Hilb's study on the subject: New integrated concept of VR, GL and staff remuneration , 3rd edition, Haupt-Verlag, Bern 2017:

« 1. Internal fairness
All, executive board and personnel positions of a listed company should be integrated into the same job evaluation concept (i.e. the CEO must also be integrated and must not stand out inappropriately from the other executive board members).
2. External fairness
The compensation fairness of the overall package of all position holders at the board of directors (BoD) and management (GL) level should be based on an objective comparison with relevant compensation market competitors (and not in the case of a CEO, e.g. only with US competitors).
3. Corporate success justice
This can be ensured by the following four measures:
(a) Limiting the variable remuneration component (eg for CEOs to 50 percent);
(b) Balance between the short-term and long-term time horizon of the variable component (e.g. for CEOs: 50 percent over three years, 50 percent over one year);
(c) The assessment basis for the variable fee component is formed by appropriate financial key figures (e.g. Economic Value Added - EVA, share return (Total Shareholder Return TSR) as Market Adjusted Performance Indicator (MAPI)), as well as appropriate non-financial key figures (e.g. voluntary customer and Employee loyalty and company reputation), 50:50;
(d) The variable component is only paid out in full if the company's success according to (c) is equal to or higher than that of the relevant competitors.
