Telecom Liechtenstein AG (abbreviation: TLI or since August 27, 2014 also: FL1) is a stock corporation under Liechtenstein law with its registered office in Vaduz and provides electronic communication services within the meaning of the Communications Act in Liechtenstein.

history

In 1997, after a decade-long connection, Liechtenstein separated from Swisscom with its fixed line communications and founded its own telecom company, Telecom Liechtenstein.

In spring 2013 the government openly launched a sale of Telecom Liechtenstein to Swisscom. The reason for the sale was allegedly the falling income in the area of ​​fixed line telephony combined with a lack of compensation options for lost income and the generally limited market of a small country . The sale of a 75 percent stake would have meant the reintegration of Liechtenstein Telecom into Swisscom and largely restored the 1997 status. For around 50 to 60 employees, this change would have resulted in job losses (around half of the workforce). Swisscom had offered CHF 23 million for this reconnection . Like the A1 Telekom Austria Group (with Mobilkom Liechtenstein ), Swisscom is present as a mobile operator in Liechtenstein.

In the May meeting, the state parliament (Liechtenstein parliament) dealt with the sale for the first time. 13 of the 25 members of the state parliament (52%) voted against the government's plans and the takeover by Swisscom.

Telecom Liechtenstein AG was then 100% owned by the Principality of Liechtenstein until August 27, 2014 . In a letter from the end of June 2014, Telecom Liechtenstein informed the customer that it had entered into a strategic partnership with Telekom Austria (contract signed on June 27, 2014 in Vaduz). The merger with Mobilkom Liechtenstein , a 100% subsidiary of Telekom Austria, was officially announced on July 1, 2014 . After approval by the authorities, TLI has been 75.1% owned by the Principality of Liechtenstein and 24.9% by Telekom Austria since August 27, 2014. A partnership agreement between the Principality of Liechtenstein and Telekom Austria made FL1 (TLI) a full member of Telekom Austria.

As part of this cooperation , Telecom Liechtenstein will merge with mobilkom liechtenstein after all official approvals have been granted. The merged company operates under the name Telecom Liechtenstein.

Legal basis

The legal basis for Telecom Liechtenstein is based on the law of 25 November 2010 on Telecom Liechtenstein AG (TLIG), LGBl 3/2011. To the extent that the TLIG does not contain any deviating provisions, the provisions of the Act on the Control and Monitoring of Public Enterprises and the Law on Persons and Companies are to be applied to the TLI .

According to Art 78 Para. 4 LV i. V. m. Art. 10 TLIG Telecom Liechtenstein is under the supervision of the government of the Principality of Liechtenstein . The owner's interests are also represented by the government.

Basic service, landline network, Internet, mobile telephony, radio and TV, Connecta combos, Telecom Center.

As of December 31, 2016, TLI employed 115 people in Liechtenstein (2015: 101; 2013: 104; 2012: 99). 24 employees were employed in the subsidiary deep AG in Chur . Deep AG was sold on August 21, 2014. Consolidated sales in 2013 were CHF 45.9 million (2012: 50.6 million)

General Assembly

The main tasks of the general assembly in ordinary and extraordinary assemblies are the establishment and amendment of the articles of association, the election and dismissal of the board of directors as well as the approval of the annual report and the annual accounts.

The chairman of the board of directors chairs the general assembly.

Board of Directors

The Board of Directors consists of three, maximum five, members and is elected for four years by the General Assembly. Members of the Board of Directors can be appointed for a maximum of two terms, the Chairman a maximum of two and a half terms.

The Board of Directors is the operative body of Telecom Liechtenstein and usually acts as a collective body. The board of directors makes the fundamental decisions about the company's activities.

The main activity of the Board of Directors is the direction, supervision and control of all business activities and it implements the resolutions of the General Assembly. The Board of Directors can issue guidelines if necessary. The Board of Directors appoints and dismisses the members of the management, authorized signatories and authorized representatives (also at the subsidiaries).

The main duty of the Board of Directors in normal business operations is to report to the General Meeting on important company matters and extraordinary events.

As a rule, the Board of Directors has a quorum with a majority of its members and passes resolutions with a simple majority of votes (with a few exceptions). The Board of Directors can delegate certain parts of its powers to one or more of its members, can appoint committees or advisory boards and define their rights and obligations in its own regulations.

The Chairman of the Board of Directors has the casting vote in meetings. He also appoints a secretary.

Managing directors

The number of members of the management and a chairman is determined and appointed / re-elected by the board of directors. The organization of the management is laid down in rules of procedure.

The main task of the management is to manage the operational business for the benefit of the company. The management represents the company externally, unless the board of directors determines otherwise.

Mathias Maierhofer has been the Chairman of the Executive Board of Telecom Liechtenstein since July 1, 2014.

Auditor

The auditor (control body) examines the company's business. This is appointed annually by the General Assembly and can be one or more natural or legal persons .

Organizational regulations

The activities, tasks and competencies of the bodies of Telecom Liechtenstein and the subsidiaries are regulated by the Board of Directors of Telecom Liechtenstein and its statutes (Articles 15 and 17) in accordance with Art. 1 of the organizational regulations. The organizational regulations were issued on June 30, 1998 and replaced on December 14, 2010 and May 22, 2014.

The Board of Directors also issues the rules of procedure and responsibilities and a corporate governance regulation.

Infrastructure

The infrastructure for the telecommunications network is not owned by Telecom Liechtenstein. This has belonged to the Liechtenstein Power Plants (LKW) since 2006 in order to achieve the “goal of vertical separation and concentration of service provision for LTN / TFL and infrastructure provision” at LKW.
