The Transdev Group SA (until March 2013 Veolia Transdev ), based in Issy-les-Moulineaux near Paris , claims to be the world's leading private operator of public transport . In Germany, the group operates through Transdev GmbH .
history
The group emerged from the merger of Veolia Transport with Transdev in March 2011 and was initially called Veolia Transdev . Veolia Environnement and the state-owned Caisse des Dépôts (CDC) held half of the company's shares .
An IPO was originally planned within 12 months of the merger. During 2011 it was announced that Veolia wanted to sell its 50% stake. The planned sale failed, however, and in October 2012 CDC announced that it would increase its stake to 60 percent as part of a capital increase, so that Veolia's stake was reduced to 40 percent. In March 2013 the part of the name Veolia was deleted from the company, since then the company is only called Transdev . As part of this transaction, it was originally intended that Veolia would acquire a 66% stake in the ferry company SNCM from Transdev. In view of the chronic losses of SNCM and a possible bankruptcy, Veolia refused to comply with this agreement, which also put Veolia's partial exit on hold in November 2013.
In May 2013, Transdev sold all of its holdings in Eastern Europe to the DB subsidiary Arriva .
At the beginning of October 2018, the Rethmann Group announced that it intended to take over the remaining shares in Veolia Environnement . At the same time, the business of the Rethmann subsidiary Rhenus Veniro is brought into the company. Overall, the Rethmann Group holds 34% of Transdev after the antitrust authorities in Germany, Austria and Australia approved the merger in January 2019. In Germany, created by the merger of the Rhenus Veniro and Veolia Verkehr the second largest provider of public transport and local rail after Deutsche Bahn .
At the beginning of March 2019, the Transdev Group began negotiations with the German Flixmobility GmbH on the sale of Isilines / Eurolines France, the third largest operator of long-distance bus activities in France. At the beginning of May 2019, the Transdev Group and Flixmobility GmbH reached an agreement on the takeover of Transdev Eurolines SA and the Isilines brand, which is particularly popular in France. Transdev Eurolines SA has subsidiaries in several countries - in addition to France, among others in the Netherlands (Eurolines Nederland BV, 100%), Belgium (Eurolines SA Belgium, 100%), the Czech Republic (Transdev Eurolines CZ, as, 100%) and Portugal (Internorte , 50.84% and Intercentro, 48.4%, both companies are fully consolidated). Transdev Eurolines SA still holds shares in Spain (Eurolines Peninsular SA, 50% and Viajes Eurolines SA, 37.5%). The bus association Eurolines is active in 25 countries and transported around 2.5 million people last year.
Companies
The parent company of the group is Transdev Group SA with its registered office in Issy-les-Moulineaux , a public limited company under French law, registered in the register of the Nanterre Commercial Court . Since the approval of the competition authorities involved in January 2019, the company has been owned by the French state-owned Caisse des Dépôts (CDC) with around 66% of the share capital, and the German private Rethmann SE & Co. KG with around 34% of the shares.
The Board of Directors ( conseil d'administration ) has eleven members, six of which are representatives of the CDC, three representatives of the Rethmann Group, and one employee representative and one independent member.
The executive committee ( comité exécutif ) consists of ten members: the CEO, the five heads of the General Secretariat, Finance, Strategy & Transformation, Personnel Management and Group Development departments, as well as the managing directors of the four most important market areas of France, Northern and Central Europe, and North America and international.
In the 2017 financial year, the group employed 74,300 people ( FTE ) and generated sales of 6.64 billion euros, an EBITDA of 417.8 million euros and a net profit of 76.6 million euros. The net debt was 527.5 million euros. The most important markets by sales were France (39%), the USA & Canada (18%), the Netherlands (12%), Germany (9%), Australia & New Zealand (8%) and Sweden (6%); The other markets accounted for 8%.
Operational activities for the Transdev Group are carried out by subsidiaries; The group's scope of consolidation includes around 630 individual companies, including both fully consolidated subsidiaries and investments in companies valued using the equity method .
The group is now active in 20 countries on five continents and operates 14 different types of transport. The number of employees is given as 82,000. According to older information, the group operated 43,000 vehicles and a. 22 tram / light rail operations.
