The VIVA Media GmbH was a German media company Viacom Inc. and operators of all German Viacom TV station. The former joint stock company was reorganized on November 22, 2005 into a limited liability company. The main channel was VIVA Germany .
history
founding
The company VIVA Media AG was founded in Cologne and is divided into VIVA Fernsehen GmbH and VIVA Media Enterprises. The sole shareholder (since a final exclusion of minority shareholders in June 2005 ) of the AG is the media company Viacom , which also owns the (former) competing broadcaster MTV . According to the Federal Cartel Office, there is no dominant position in the affected markets, in particular the market for television advertising. Even with regard to the so-called advertising - relevant target group (people interested in music between the ages of 14 and 29), a dominant position is not likely, the Cartel Office sums up, since companies on the competing channels, primarily Sat.1 and RTL , have a similar amount of advertising for the same target group switch. Nevertheless, this concentration promotes special-interest channels with music offerings to achieve a dominant position for the consumer. However, this is of little consequence when considering antitrust law, since the TV consumer only “pays” for the program in the form of time and attention.
Since 2000 VIVA Media AG began to expand in the European market. VIVApolska was launched as the first broadcaster in other European countries ! , With this step the great relevance and the high level of awareness of the VIVA brand in Poland was done justice. This was followed by participations in the stations Swizz from Switzerland and in 2001 Rete A from Italy and Z + from Hungary. 2002 to 2006 followed the participation in the Dutch broadcaster The Box.
From August 19, 2001, VIVA Media AG published the supplement “VIVA BamS” every week in cooperation with BILD am Sonntag. The technical trial operation of VIVAaustria began in November 2000, and the official broadcast was on January 1, 2001.
In 2001 Time Warner took a 49 percent stake in VIVA Media AG.
In January 2002 the advertising agency of VIVA Media AG, VIVA Connect GmbH, based in Eltville am Rhein, was closed.
In February 2003, VIVA Media AG converted the company Musik Komm into Viva Media Enterprises.
Takeover by Viacom Inc.
In 2004, VIVA Media AG applied in Berlin for a frequency for the long-planned VIVA radio. The transmitter had already received a medium wave license in 2000, but later returned it.
At the end of August 2004, the US media group Viacom took over 98 percent of Viva shares.

After the information about a planned closure of VIVA had accumulated in German daily newspapers on November 26, 2004, the last general meeting took place on January 14, 2005 , at which Viacom finally took over the management . At an extraordinary business meeting, in addition to the exclusion of minority shareholders , Viacom's control agreement over VIVA Media was also resolved. As a result, VIVA Media came under full and unrestricted control of Viacom. 240 of the 300 VIVA employees were laid off. Despite resistance from the state of North Rhine-Westphalia , the "music television business" moved from VIVA to MTV in Berlin . The station should continue to broadcast from Cologne. VIVA Media AG was transformed into VIVA Media GmbH on November 22, 2005. VIVA Plus and Brainpool should stay in Cologne for the time being.
It was allegedly planned to transfer the companies "VIVA Fernsehen GmbH", "VIVA Plus Fernsehen GmbH" and "VIVA Media AG" to "MTV Networks Germany GmbH". On January 1, 2007, Brainpool TV GmbH, which has been part of VIVA Media AG since November 2001, was bought back by its founder Jörg Grabosch and other investors as part of a management buyout and has been independent again since then. It should also be noted that the VIVA channel changed its core focus from music TV to a youth channel. This was probably a consequence of the changed television behavior of the target group and the ever increasing competition in the German television landscape.
On January 14, 2007 VIVA Plus was discontinued and on January 15, 2007 it was converted into Comedy Central Germany . At the end of January 2007, the cooperation between Bild am Sonntag and VIVA was ended and the supplementary issue VIVA BamS was discontinued and replaced by YAM! BamS.
On April 30, 2007, the Dutch broadcaster The Box was replaced by Comedy Central Netherlands. In May 2007 VIVA Fernsehen GmbH became VIVA Music Fernsehen GmbH & Co. KG.
At the beginning of 2011, VIVA Music Fernsehen GmbH & Co. KG announced that its general partner, VIVA Music Verwaltungs GmbH, would be merged with its parent company VIVA Media GmbH (at the same time limited partner of VIVA Music Fernsehen GmbH & Co. KG) and thus dissolved. In the future, VIVA Media GmbH will completely oversee the operation of the VIVA channel.
On October 3, 2017, the Hungarian and on October 17, 2017 the Polish offshoot of VIVA were discontinued and replaced by MTV Hits and MTV Music respectively.
VIVA Media GmbH also has a 51% stake in VIMN Germany GmbH (formerly MTV Networks Germany), the operator of all other Viacom channels in Germany. The other 49% are owned by Viacom Holdings Germany LL.C. based in Wilmington, Delaware . Viacom Holdings Germany LL.C. also holds 100% of the shares in VIVA Media GmbH.
The holdings formerly part of VIVA Media GmbH have now been integrated into the respective Viacom national companies. Most recently, VIVA Austria and VIVA Switzerland were two branches of the VIVA channel in other European countries.
On December 31, 2018 at 1:59 p.m., VIVA was permanently discontinued and completely replaced by Comedy Central.
VIVA Media GmbH continues to operate 50% of the Nick and Comedy Central stations.
