CIR ( Compagnie Industriali Riunite ) SpA is an Italian industrial holding company; controlled by the De Benedetti family.

history

In 1976 Carlo De Benedetti acquired the company CIR and converted it into an industrial holding; In the same year, the first investment was AMF Sasib. In 1978 CIR acquired the majority of shares in Olivetti through a capital increase and Carlo De Benedetti became CEO of Olivetti. In 1981, CIR began its automotive activities with the takeover of Sogefi, which were expanded in the following years through further acquisitions. In 1985 the food manufacturer Buitoni-Perugina was taken over - in 1988 it was sold to Nestlé . In 1987, CIR acquired a stake in the Mondadori Group, which in 1989 took control of the Espresso publishing house. In 1991/1992 Mondadori was broken up and split between CIR and Fininvest ; Fininvest's part became Arnoldo Mondadori Editore , CIRs became Gruppo Editoriale L'Espresso ; the media area was also expanded in the following years. In 1998, CIR sold its stake in Olivetti. In 1999 - together with the electricity group Österreichische Elektrizitätswirtschafts-AG - the company Energia (later renamed Worryia ) was founded for investments in the energy sector, and in 2002 Energia received permission to build a power plant in Termoli .

In 2003 the HSS-Holding Sanità e Servizi was founded for activities in the health sector. In 2005, Jupiter Finance was founded to work in the non-performing loans space. In 2007, CIR and Merrill Lynch bought Oakwood Financial Investments. In 2009, the Fininvest group of the Berlusconi clan was sentenced to compensation of € 750 million from the CIR group for bribery of a judge in connection with the break-up of the Mondadori company.

The holdings in the electricity sector (Sorgenia) were assigned to the financing banks in 2015.

Portfolio

CIR is a pure holding company that does not intervene in the day-to-day business of its holdings. The portfolio should contain a mix of high-yield and high-growth investments.

The CIR portfolio is divided (as of 2017) into the areas of media, automotive components, healthcare and financial services, which are managed by sub-holding companies.

With a turnover of 2.6 billion euros (2016), the Utilities division contributes the largest part of the Group's turnover, followed by Media and Automotive Components with one billion each.

Media

The Media sector has a share of 56.5% (as of 2017) of Gruppo Editoriale L'Espresso , which includes among other things the newspaper La Repubblica , the magazine L'Espresso , 16 local newspapers and radio stations Radio Deejay , Radio Capital and m2o include .

Automotive Components

The Automotive Components division holds a 57.1% share (as of 2017) in Sogefi , which has been expanded over the years through numerous acquisitions to become a leading automotive supplier, particularly for filters and suspensions; Sogefi holds the following investments, among others.

Healthcare

The Healthcare division holds a share of 59.5% (as of 2017) in the KOS Group, which essentially has three investments:

  • Residenze Anni Azzurri and Meia, operates 51 nursing homes (as of 2017)
  • S. Stefano, Rehab, Redancia, operates 10 rehab centers (as of 2017)
  • Ospedale di Suzzara, operates hospitals or parts of them

Others

The former Utilities division with a majority stake in the energy supply company Sorgenia , the largest energy company in Italy founded after the deregulation of the market, was sold in 2015. The Financial Services division with its holdings in Jupiter Finance and Oakwood group was transferred to Deutsche Bank .

There are also a few other small activities, including a. in real estate and venture capital .

The share is listed on the Milan Stock Exchange.

The main owner is COFIDE (Compagnia Finanziaria De Benedetti), which owns 45.8% of the shares, 38.4% are in free float (as of 2017). COFIDE is the De Benedetti family's financial holding company and is also listed on the Milan Stock Exchange.
